What an Oil Price Agreement Covers

An Oil Price Agreement is a binding commercial contract that sets the pricing mechanism for the sale and purchase of crude oil or refined petroleum products between counterparties. Typical provisions define the price formula (fixed amount, benchmark index, or floating formula tied to WTI/Brent), quantity and delivery schedule, quality specifications, risk allocation, payment and settlement terms, title transfer, force majeure, adjustment mechanisms, and dispute resolution. In the United States these contracts are enforceable under general contract law and may be executed electronically consistent with ESIGN and applicable state UETA or ESRA rules.

Why a Clear Oil Price Agreement Matters

A well-drafted Oil Price Agreement reduces price uncertainty, allocates delivery and credit risk, preserves audit trails for trade confirmations, and supports enforceability when signed electronically under ESIGN and state UETA/ESRA frameworks.

Why a Clear Oil Price Agreement Matters

Who Typically Prepares or Signs This Agreement

The Oil Price Agreement is used by counterparties across trading, refining, and corporate procurement teams when establishing transactional pricing and settlement terms.

  • Commodity traders and brokers who manage index-linked purchases and hedging activities for market exposure and settlement certainty.
  • Refineries, distributors, and fuel wholesalers that require delivery schedules, quality specs, and title-transfer provisions tied to trade volumes.
  • Corporate procurement, treasury, and legal teams that negotiate credit terms, price adjustments, and contractual remedies for nonperformance.

Legal, compliance, and operations units frequently review and finalize the agreement before execution to ensure commercial and regulatory alignment.

Core Clauses to Include in an Oil Price Agreement

A practical agreement isolates price mechanics, delivery and quality obligations, payment and settlement, and remedies for dispute or breach to reduce ambiguity and litigation risk.

Price Formula

Specify fixed price, benchmark reference (for example WTI or Brent), spread or premium/discount, calculation timing, and rounding conventions to avoid later disputes.

Quantity & Schedule

List total volumes, individual shipment sizes, delivery windows, notice requirements, and allowable shortfall tolerances to align logistics and billing.

Quality Specifications

Define API gravity, sulfur content, allowable contaminants, and testing procedures including sampling protocols and accepted labs for disputes.

Delivery & Title

State delivery point, transfer of title and risk of loss, demurrage or detention rules, and responsibilities for transportation and terminal charges.

Payment & Settlement

Set invoicing cadence, payment terms (for example Net 30), currency, interest on late payments, and bank/payment instructions for clearing trades.

Adjustments & Disputes

Include correction processes for mispricing, audit rights, notice periods for disputes, and governing law plus an agreed dispute resolution mechanism.

Follow these sequential steps to prepare, review, and finalize the Oil Price Agreement with minimal rework.
