OILFIELD SERVICES AGREEMENT

This Oilfield Services Agreement (the Agreement) is made and entered into as of Effective Date: by and between Client Name: (hereinafter "Client"), and Service Provider Name: (hereinafter "Service Provider"). Client and Service Provider may be referred to individually as a Party and collectively as the Parties.

RECITALS

WHEREAS, Client operates oil and gas properties and requires services related to drilling, well servicing, logging, testing, and ancillary field support at Location: ;

WHEREAS, Service Provider possesses the equipment, personnel, technical expertise, and regulatory approvals necessary to perform oilfield services in accordance with industry standards and applicable law; and

WHEREAS, the Parties desire to set forth the terms and conditions under which Service Provider will perform such services for Client.

SCOPE OF WORK

Service Provider shall perform the services described below in a professional and workmanlike manner, consistent with customary industry practice and regulatory requirements. Detailed description of services and deliverables:

PAYMENT TERMS

Compensation: Client shall pay Service Provider the Total Contract Amount of USD, subject to adjustments for scope changes agreed in writing.

Late Payment: Unpaid amounts shall accrue interest at the rate of or the maximum rate permitted by law, whichever is lower. In addition, Client shall reimburse reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

Term: The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either Party may terminate this Agreement for convenience upon written notice of days to the other Party. Termination for Cause: Either Party may terminate immediately for material breach that is not cured within 10 days after written notice; if breach cannot reasonably be cured within 10 days, the breaching Party shall have a reasonable period not to exceed 30 days to cure.

CONFIDENTIALITY

Confidential Information: Each Party acknowledges that it may receive confidential or proprietary information of the other Party ("Confidential Information"). Confidential Information shall not include information that is (a) publicly available through no fault of the recipient; (b) already in the recipient's lawful possession; or (c) rightfully obtained from a third party without restriction.

Non-Disclosure; Use Limitation: The recipient shall hold Confidential Information in confidence, shall not disclose it to any third party except to its employees, agents, or contractors who have a need to know and are bound by confidentiality obligations, and shall use Confidential Information solely to perform obligations under this Agreement. The recipient shall take reasonable measures to protect Confidential Information from unauthorized disclosure.

INSURANCE, INDEMNITY, AND SAFETY

Insurance: Service Provider shall maintain and furnish certificates evidencing insurance, including commercial general liability, workers' compensation, automobile liability, and, where applicable, excess liability, in amounts customary for oilfield operations and as reasonably requested by Client.

Indemnity: Service Provider shall indemnify, defend, and hold harmless Client and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Service Provider's negligent acts, omissions, or willful misconduct in connection with the performance of services under this Agreement, except to the extent caused by Client's negligence or willful misconduct.

Safety and Compliance: Service Provider shall perform all services in compliance with applicable laws, regulations, and industry safety standards. Service Provider shall ensure its personnel are properly trained and shall immediately notify Client of any incident or safety hazard arising in the performance of the services.

FORCE MAJEURE

Neither Party shall be liable for delay or failure to perform to the extent such delay or failure results from causes beyond its reasonable control, including acts of God, governmental action, severe weather, strikes, riots, or inability to obtain necessary equipment or permits (Force Majeure Event). The affected Party shall promptly notify the other Party and use commercially reasonable efforts to resume performance.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles.

Dispute Resolution: Parties shall attempt in good faith to resolve disputes promptly by negotiation between senior executives. If unresolved within 45 days, either Party may pursue remedies in a court of competent jurisdiction in the chosen governing state.

ENTIRE AGREEMENT; AMENDMENT

Entire Agreement: This Agreement, including any attachments and written change orders executed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings.

Amendment: No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both Parties.
