ON-CAMERA TALENT AGREEMENT

This On-Camera Talent Agreement (the "Agreement") is entered into by and between:

RECITALS

WHEREAS, Producer is engaged in the development, production and exploitation of audiovisual works, including the Production identified above; and

WHEREAS, Talent possesses the skills, appearance and availability necessary to perform on-camera services for the Production; and

WHEREAS, Producer desires to retain Talent, and Talent desires to render services to Producer, on the terms and conditions set forth in this Agreement.

SCOPE OF WORK

Talent shall provide on-camera performances, interviews, voice-over, appearances and other services as reasonably requested by Producer in connection with the Production. The specific services, scenes, timing and deliverables shall be as follows:

PAYMENT TERMS

Fee: Producer shall pay Talent a total fee of (USD) for the services described in this Agreement.

Payment Schedule:

Expenses: Producer shall reimburse pre-approved reasonable out-of-pocket expenses incurred by Talent in connection with the services. If expenses are reimbursable, provide approximate cap:

Late Payment: Any undisputed amount not paid within days of the due date shall accrue interest at until paid. Producer shall be responsible for reasonable collection costs incurred by Talent for late or non-payment.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement upon written notice to the other party delivered at least days prior to the effective termination date. In the event of termination by Producer for convenience, Producer shall pay Talent for services performed and pre-approved expenses incurred through the effective termination date.

Termination for Cause: Either party may immediately terminate this Agreement for material breach by the other party that remains uncured for a period of ten (10) days following written notice specifying the breach.

LICENSE, RIGHTS AND USE OF LIKENESS

Grant of Rights: Talent hereby irrevocably grants to Producer, its affiliates and licensees a perpetual, worldwide, transferable, royalty-free right and license to record, reproduce, distribute, exhibit, publicly display and otherwise use Talent's name, voice, likeness, performance and biographical material embodied in the Production in any and all media now known or hereafter devised, for advertising, promotion, distribution and all other commercial and non-commercial purposes.

Moral Rights: To the fullest extent permitted by law, Talent waives any moral rights or similar rights in the performances and waives the right to object to any editing, dubbing or changes in the Production.

CONFIDENTIALITY

Confidential Information: Talent and Producer acknowledge that during the term of this Agreement each may receive confidential information of the other. Each party shall hold such information in confidence and shall not disclose it to any third party except as required to perform this Agreement or as required by law.

Duration: The confidentiality obligations set forth in this Section shall survive termination of this Agreement for a period of months, except that trade secrets and proprietary business information shall remain confidential indefinitely.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Talent represents and warrants that Talent has the full right, power and authority to enter into this Agreement and grant the rights herein, that Talent's performance will not violate the rights of any third party, and that Talent will comply with all applicable laws and regulations in performing services.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of a breach of such indemnifying party's representations, warranties or material obligations under this Agreement.

INSURANCE & TAXES

Insurance: If required by Producer, Talent shall provide evidence of personal liability or other insurance as reasonably requested. Producer may require proof of insurance prior to commencement of services.

Taxes: Talent acknowledges that Talent is responsible for payment of any federal, state or local taxes arising from payments made under this Agreement unless Producer is required by law to withhold taxes.

CREDITS AND PROMOTION

Credit: Producer shall use commercially reasonable efforts to accord Talent credit in the main titles or end credits of the Production in the form:

Publicity: Producer may use Talent's name and likeness for promotional purposes in connection with the Production consistent with the license granted in this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of laws principles.

Dispute Resolution: The parties shall first attempt in good faith to resolve any dispute arising under this Agreement through negotiation. If those efforts fail, the parties may pursue any available remedies in courts of competent jurisdiction in the governing state.

MISCELLANEOUS

Relationship of Parties: Talent is an independent contractor and nothing in this Agreement shall be construed to create an employment relationship, joint venture, agency or partnership between the parties.

Assignment: Producer may assign its rights and obligations under this Agreement in connection with any sale, merger or transfer of the Production or Producer's business. Talent may not assign this Agreement without Producer's prior written consent.

Amendment: This Agreement may be amended only by a written instrument signed by both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

ENTIRE AGREEMENT

This Agreement, including any written schedules or addenda signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, understandings and negotiations.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other.
