Onboarding Agreement

This Onboarding Agreement (the "Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Client seeks certain onboarding and implementation services described herein to integrate new personnel, systems, or services into Client's operations; and

WHEREAS, Service Provider has expertise and capacity to provide onboarding, training, configuration, and related professional services; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows:

SCOPE OF WORK

Service Provider will perform onboarding services that may include but are not limited to project planning, stakeholder interviews, configuration, end-user training, documentation, data migration assistance, and go-live support. Specific tasks, deliverables, acceptance criteria, and timelines are set forth below.

PAYMENT TERMS

In consideration for the services performed by Service Provider, Client shall pay Service Provider in accordance with the terms set forth below. All payments are payable in lawful currency of the United States unless otherwise agreed in writing.

Expenses incurred by Service Provider that are pre-approved by Client in writing will be reimbursed at cost upon submission of receipts and reasonable documentation.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause by providing written notice to the other party no fewer than days prior to the effective termination date.

Either party may terminate immediately for material breach by the other party if such breach remains uncured thirty (30) days after receipt of written notice specifying the breach. Termination does not relieve Client of the obligation to pay for services performed and non-cancelable commitments incurred prior to termination.

CONFIDENTIALITY

Each party (the "Receiving Party") acknowledges that in connection with performance under this Agreement it may receive or have access to confidential and proprietary information of the other party (the "Disclosing Party"). The Receiving Party shall: (a) hold such information in strict confidence; (b) use such information only to perform its obligations under this Agreement; and (c) not disclose such information to any third party except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential information does not include information that is (i) publicly available without breach of this Agreement, (ii) rightfully received from a third party without restriction, or (iii) independently developed without use of the Disclosing Party's confidential information.

The obligations of confidentiality set forth in this Section shall survive termination of this Agreement for a period of unless a longer period is required by applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of disputes arising from this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, together with any exhibits and statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Representations; Compliance with Laws: Each party represents that it has the authority to enter into this Agreement and will perform its obligations in compliance with applicable laws, rules, and regulations. Service Provider represents that it will perform services in a professional and workmanlike manner consistent with industry standards.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, damages, losses or expenses arising out of the indemnifying party’s breach of this Agreement, negligence, or willful misconduct.
