Recitals

Participant consents to background and reference checks as required by Company policy and authorizes release of information for employment screening purposes.

Scope of Work

The Participant shall perform the duties, responsibilities and deliverables described below. The Participant shall accept direction from authorized Company personnel and shall perform services in a professional manner consistent with industry standards.

Payment Terms

In consideration for the services to be provided by the Participant, the Company shall pay the Participant as set forth below. All payments are subject to applicable tax withholdings in accordance with the Participant's classification.

Participant shall submit invoices to the Company in the form reasonably required by the Company. Unless otherwise agreed in writing, payment shall be due within the number of days set forth in the Payment Schedule following submission of an undisputed invoice. Disputed items shall be resolved in good faith and the undisputed portion shall be paid on schedule.

Term and Termination

This Agreement shall commence on and, unless earlier terminated pursuant to this Section, shall continue until .

Either party may terminate this Agreement for convenience upon prior written notice to the other party in accordance with the notice period set forth above. The Company may terminate immediately for material breach, violation of Company policy, misconduct, or breach of confidentiality. Termination shall not relieve either party of obligations accrued prior to the effective termination date.

Confidentiality

Participant acknowledges that in the course of providing services the Participant will receive or have access to confidential and proprietary information of the Company ("Confidential Information"). Participant shall (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly authorized in writing by the Company; and (c) use Confidential Information solely for the performance of obligations under this Agreement. Confidential Information does not include information that is or becomes generally available to the public through no fault of the Participant or is rightfully received from a third party without breach of any obligation of confidentiality.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes hereunder.

Representations and Warranties; Compliance

Each party represents and warrants that it has full power and authority to enter into this Agreement. Participant represents and warrants that the services will be performed in a professional and workmanlike manner and in compliance with all applicable laws, regulations and Company policies. Participant shall maintain all licenses and permits required to perform the services.

Indemnification and Limitation of Liability

Participant shall indemnify, defend and hold harmless the Company and its officers, directors and employees from and against any third party claims arising from Participant's gross negligence, willful misconduct or material breach of this Agreement. Except for liability arising from willful misconduct or indemnification obligations, neither party's aggregate liability to the other shall exceed the total fees paid under this Agreement in the twelve (12) months preceding the claim.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. This Agreement may be amended or modified only by a written instrument signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notices shall be deemed delivered upon receipt if delivered personally, by nationally recognized courier, or by electronic delivery with confirmation.
