ONLINE TRAINING PROGRAM AGREEMENT

This Online Training Program Agreement (the "Agreement") is entered into as of Date: between Provider Name: , Provider Entity Type: Corporation LLC Other and Client Name: Client Entity Type: Corporation LLC Other.

WHEREAS

WHEREAS, Provider develops and delivers instructor-led and self-paced online training materials and platform access for professional education, certification preparation, and skills development; and

WHEREAS, Client desires to obtain access to and participation in Provider's Online Training Program (the "Program") for the Client's participants under the terms set forth herein; and

WHEREAS, Provider is willing to provide the Program and related services pursuant to the terms and conditions of this Agreement.

SCOPE OF WORK

Provider shall deliver the Online Training Program consisting of course content, instructional sessions, assessments, and participant support as described below. Provider will use commercially reasonable efforts to deliver the Program in a professional manner consistent with industry standards.

PAYMENT TERMS

In consideration for the Program and related services, Client shall pay Provider the fees set forth below in accordance with the schedule and conditions specified. All fees are non-refundable unless expressly stated otherwise.

TERM AND TERMINATION

This Agreement commences on the Start Date below and, unless earlier terminated in accordance with this section, continues until the End Date below or until completion of the Services.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve Client of its obligation to pay undisputed fees for services performed through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is identified as confidential or that, given its nature or the circumstances of disclosure, reasonably should be understood to be confidential. Confidential Information does not include information that is (a) already known to the receiving party without restriction, (b) publicly available through no fault of the receiving party, (c) rightfully received from a third party without breach of an obligation of confidentiality, or (d) independently developed without use of the disclosing party's Confidential Information.

Each party agrees to use the other party's Confidential Information only for the purposes of performing its obligations under this Agreement and to protect such Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. The obligations in this section shall survive termination of this Agreement for a period of two (2) years.

INTELLECTUAL PROPERTY AND LICENSE

Provider retains all right, title, and interest in and to training materials, course content, recordings, software, and methodologies provided under this Agreement. Subject to full payment of fees, Provider grants Client a limited, non-exclusive, non-transferable license to access and use the Program materials for internal training of Client's participants during the Term. Client shall not reproduce, distribute, modify, create derivative works of, or publicly display Provider's materials except as expressly authorized in writing by Provider.

LIMITATION OF LIABILITY

Except for breaches of confidentiality or a party's gross negligence or willful misconduct, neither party shall be liable to the other for any indirect, incidental, special, or consequential damages, including lost profits, arising out of or related to this Agreement, even if advised of the possibility of such damages. Provider's aggregate liability for any claim arising from or relating to this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate in writing.
