OPERATIONAL & MAINTENANCE MANUAL AGREEMENT

This Operational & Maintenance Manual Agreement (the "Agreement") is made and entered into by and between Client Name: and Service Provider: Effective Date:

WHEREAS

WHEREAS, the Service Provider designs, installs, commissions and provides maintenance services for the equipment and systems described in this Agreement; and

WHEREAS, the Client requires an operational and maintenance manual defining procedures, schedules, responsibilities, spare parts and service levels necessary to ensure safe, reliable and compliant operation; and

WHEREAS, the parties desire to set forth the Manual materials and contractual terms governing ongoing maintenance, training and support in a single binding Agreement.

SCOPE OF WORK

The Service Provider shall prepare, deliver and, where applicable, implement the Operational & Maintenance Manual described below. The Manual will include operational procedures, scheduled and preventive maintenance instructions, safety and compliance protocols, spare parts lists, training materials and reporting templates.

OPERATIONS PROCEDURES

MAINTENANCE SCHEDULE & TASKS

The Manual shall include a maintenance schedule identifying required inspections, preventive maintenance tasks, acceptance criteria and required tools. Frequencies below are illustrative; the Service Provider will propose a definitive schedule in the delivered Manual.

SPARE PARTS & TOOLS

SAFETY, COMPLIANCE & TRAINING

The Manual shall include safety procedures, permit-to-work requirements, lockout/tagout protocols, PPE specifications and references to applicable regulatory compliance obligations. The Service Provider shall identify required certifications for maintenance personnel.

REPORTING & DOCUMENTATION

The Manual will provide templates and processes for maintenance reports, defect logs, spare-parts consumption reports and compliance records. Report formats, retention periods and distribution lists shall be specified.

SERVICE LEVELS & RESPONSE TIMES

The Service Provider shall meet response and resolution times for reported faults as set forth below. Response time is measured from Client notification to initial acknowledgment; resolution time is measured to restoration of service or agreed workaround.

PAYMENT TERMS

In consideration for the services, the Client shall pay the Service Provider the amounts and on the schedule set forth below. All payments are due in cleared funds in the currency specified in an invoice. Invoices shall reference the Agreement and be supported by required deliverables.

TERM AND TERMINATION

This Agreement shall commence on Start Date and continue through End Date, unless earlier terminated in accordance with this section. Either party may terminate for material breach if the breach remains uncured after the notice period specified below.

CONFIDENTIALITY

Each party shall maintain as confidential all proprietary information disclosed in connection with this Agreement and shall not disclose such information to any third party without the prior written consent of the disclosing party, except as required by law. Confidential information shall exclude information that is or becomes public other than by breach of this Agreement, is rightfully received from a third party, or is independently developed without reference to confidential information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties in writing. The parties submit to the exclusive or non-exclusive jurisdiction specified herein for resolution of disputes, unless otherwise agreed in writing.

ENTIRE AGREEMENT

This Agreement, together with the Operational & Maintenance Manual and any appendices, schedules or change orders executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, representations and agreements, whether written or oral.

AMENDMENTS

Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties. The Service Provider may issue non-material updates to the Manual for operational clarity provided such updates do not increase fees or reduce service levels without Client consent.
