Confidentiality

Confidential Information does not include information that: (a) is or becomes publicly known through no breach by the receiving party; (b) is lawfully received from a third party without confidentiality obligations; or (c) is independently developed without use of the disclosing party's Confidential Information.

The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Disclosure required by law or court order is permitted only after the receiving party provides prompt written notice to the disclosing party and reasonably cooperates in any effort to limit disclosure or obtain protective measures.

A breach of this confidentiality obligation will cause irreparable harm for which monetary damages may be inadequate; accordingly, the non-breaching party shall be entitled to injunctive relief in addition to any other available remedies.

Representations and Certifications

The Client represents and warrants that it has the full authority to submit this Opt Out Form with respect to the Scope of Opt-Out identified above and that the person signing on behalf of the Client is duly authorized to bind the Client. The Company represents that it accepts the Client's election as documented herein and will process the opt-out in accordance with the terms of this form and the parties' governing agreement.

Entire Agreement
