What the Option Grant Consent Form Is

An Option Grant Consent Form documents a grantee's acceptance of terms for stock options, restricted stock units, or other equity awards and records any required consent to grant conditions. It sets exercise price, vesting schedule, tax withholding instructions, and may confirm permission to electronic delivery and signature under applicable e-signature law.

Why this form matters for equity governance

A clear consent form reduces ambiguity about grant terms, supports employee equity administration, and creates an auditable record for tax, corporate, and securities compliance while enabling lawful e-signatures under ESIGN and state UETA provisions.

Why this form matters for equity governance

Who commonly completes the Option Grant Consent Form

Companies, HR and legal teams, equity recipients, and payroll professionals use this form to document acceptance of equity awards.

  • Human resources and equity administrators ensuring accurate recordkeeping and payroll setup for grants.
  • Employees and consultants accepting grant terms and confirming tax and delivery preferences.
  • Company officers or corporate secretaries approving grant issuance and confirming corporate authority.

Proper completion helps meet corporate minute requirements, supports tax reporting, and preserves enforceability in audits or disputes.

Key signers and participants

Equity Recipient

An individual grantee who must confirm identity, accept grant terms, provide TIN or W-9 information if required, and consent to electronic delivery. Their signature binds them to vesting, exercise, and tax withholding obligations; incorrect data can trigger backup withholding or tax reporting errors.

Company Officer

Typically a corporate officer or authorized representative who certifies the grant, confirms board approval or delegated authority, and signs on behalf of the issuer. This signer ensures corporate compliance with charter and securities restrictions and provides enforceability for the grant agreement.

Essential parts of a professional Option Grant Consent Form

A complete consent form organizes grant mechanics and legal confirmations so signing parties can quickly verify economic, tax, and corporate controls.

Grant Details

Identify award type, total option count, class of shares, and exercise price. Precise figures prevent future disputes and determine tax and ownership rights once options vest or are exercised.

Vesting Schedule

Specify vesting commencement date, cliff provisions, and periodic vesting increments. Clear vesting terms affect exercisability and determine when employment termination or change-in-control rules apply.

Exercise Terms

Describe exercise procedures, payment methods, expiration date, and any accelerated vesting triggers. Include mechanics for cashless exercise or broker-assisted transactions when available.

Tax Withholding

State withholding obligations and whether payroll will satisfy tax withholdings at exercise or settlement. Include a space for W-9/TIN confirmation to avoid backup withholding.

Consent and Representations

Include grantee representations on eligibility, acceptance of electronic delivery, and agreement to plan terms. Consent language should meet ESIGN consumer-disclosure requirements for covered transactions.

Signature and Date

Provide clear signature blocks for each party, printed names, titles where applicable, and effective dates. Use full legal names to match government ID and payroll records.

Follow these sequential steps to complete the form accurately and preserve evidentiary value for corporate and tax records.
