Each Party shall (i) use Confidential Information solely for performance under this release, (ii) not disclose it to any third party except to its employees or agents on a need-to-know basis who are bound by confidentiality obligations no less protective than those herein, and (iii) take reasonable measures to protect it. Confidential obligations survive termination for a period of three (3) years.

Exceptions: Confidential Information does not include information that is publicly known, rightfully obtained from a third party without breach, independently developed, or required to be disclosed by law (subject to prior notice to the disclosing Party where permitted).

Any amendment must be in writing and signed by authorized representatives of both Parties.
