What an Organic Farm Agreement Is

An Organic Farm Agreement is a written contract between a landowner, farm operator, buyer, or service provider that sets terms for cultivating, certifying, and selling agricultural products under organic standards. It documents responsibilities such as acreage, crop rotation, prohibited substances, certification maintenance, inspection access, recordkeeping, delivery schedules, and payment terms. The agreement supports compliance with USDA National Organic Program standards and clarifies liability, indemnity, insurance, and termination conditions to reduce disputes and protect organic certification status.

Why this Agreement Matters for Certification and Commerce

An Organic Farm Agreement protects organic certification, allocates responsibilities, and documents compliance with the USDA NOP and buyer requirements. It reduces operational disputes, clarifies inspection and recordkeeping duties, and provides enforceable terms for product quality, delivery, pricing, and liability across the production and sale lifecycle.

Why this Agreement Matters for Certification and Commerce

Who Typically Completes an Organic Farm Agreement

Producers, landowners, buyers, packers, and certifying agents commonly complete Organic Farm Agreements to formalize organic production and transactions.

  • Organic farmers managing certification, field practices, supplier compliance, and documentation.
  • Landowners leasing acreage to certified organic operators under written terms.
  • Buyers, distributors, and co-ops contracting for consistent organic produce supply and traceability.

Use this agreement to document obligations, inspection access, and remedies to protect certification and commercial interests.

Core Sections to Include in an Organic Farm Agreement

An effective Organic Farm Agreement organizes obligations, certification requirements, payment terms, access for inspection, duration, and termination to ensure regulatory compliance and commercial clarity.

Scope

Define crops, fields, acreage, and the activities covered. Specify permitted inputs and prohibited substances consistent with USDA National Organic Program standards and any additional certification body requirements.

Certification

Assign responsibility for organic certification, renewal, and costs. State which party maintains certification, handles audits, notifies the counterparty of nonconformances or suspension, and cooperate during inspections.

Management

Specify farming practices such as crop rotation, buffer zones, seed sourcing, soil amendments, pest management, and recordkeeping frequency to maintain organic integrity and audit readiness.

Inspections

Grant reasonable access for certifier and buyer inspections, define notice periods, and require retention of inspection records and corrective action documentation for audits for five years.

Delivery

Specify delivery schedules, quality standards, testing, rejection procedures, title transfer, and price adjustments for nonconforming lots, and sampling protocols at point of receipt.

Liability

Allocate indemnity, insurance requirements, limitation of liability, and termination rights, including timelines for notice and cure to address certification loss, crop failure, and force majeure.

Common Mistakes to Avoid

  • Failing to specify prohibited inputs and buffer requirements can lead to certification violations, supplier disputes, and crop rejection at sale, increasing financial and regulatory risk.
  • Using vague payment or delivery terms without quantities, inspection rights, and rejection remedies often creates disputes over pricing adjustments or unpaid invoices.
  • Neglecting to assign which party covers certification fees, record retention, and insurance leaves gaps that can shift unexpected costs after noncompliance events.
  • Omitting explicit inspection notice periods and data retention timelines can impede audits and delay corrective actions required by certifiers or buyers.

Penalties and Risks of Incorrect or Missing Terms

Certification Loss: Revocation of organic status; market exclusion.
Buyer Rejection: Rejected lots and withheld payment.
Contract Damages: Monetary damages and indemnity claims.
Regulatory Penalties: USDA enforcement for NOP violations.
