ORGANIZATIONAL CHART ORGANIGRAM

This Organizational Chart Organigram Agreement (the Agreement) is made effective as of by and between:

RECITALS

WHEREAS, the Provider is engaged in the business of organizational design, role definition, and preparation of organigrams and possesses the professional skill to prepare an organizational chart tailored to the Recipient's operational structure; and

WHEREAS, the Recipient seeks the Provider's services to prepare, revise and deliver an Organizational Chart Organigram that identifies positions, reporting relationships, departmental structure and headcount forecasts for the Recipient's organization; and

WHEREAS, the parties desire to set forth the scope, deliverables, payment, confidentiality obligations and governing law applicable to the creation and use of the organizational chart as set forth in this Agreement.

PARTIES

SCOPE OF WORK

Provider shall prepare an Organizational Chart Organigram, in electronic and printable formats, setting out the Recipient's reporting relationships, departmental structure, position titles, levels, and recommended headcount. The deliverable shall include a narrative description of responsibilities for each senior role and recommended lines of authority.

ORGANIZATIONAL CHART DETAILS

PAYMENT TERMS

As consideration for the services described in the Scope of Work, Recipient shall pay Provider in accordance with the terms below.

TERM AND TERMINATION

Either party may terminate this Agreement upon written notice to the other if the other party materially breaches any provision of this Agreement and such breach remains uncured for the notice period specified above. Termination shall not relieve the Recipient of the obligation to pay for services rendered and reasonable expenses incurred through the effective date of termination.

CONFIDENTIALITY

The parties acknowledge that the organigram, related workforce data, headcount forecasts, role descriptions and any supporting analyses constitute Confidential Information. Each party shall keep Confidential Information in strict confidence, shall not disclose it to third parties except to those of its employees or advisors with a need to know, and shall use at least the same degree of care to protect such information as it uses to protect its own confidential information, but in no event less than reasonable care. Confidentiality obligations shall survive termination for a period of three years, except where applicable law requires longer protection for specific categories of information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification must be in writing and signed by duly authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Each party represents and warrants that it has full corporate power and authority to enter into and perform its obligations under this Agreement. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in connection with a merger or sale of substantially all assets, provided that the assignee assumes all obligations hereunder.
