ORGANIZATIONAL CHART TEMPLATE

This Organizational Chart Template and Services Agreement (the Agreement) is entered into by and between Client Name: and Service Provider Name: (collectively, the Parties).

WHEREAS

WHEREAS, the Service Provider has expertise in designing, documenting, and maintaining organizational structures and related role descriptions; and

WHEREAS, the Client desires the Service Provider to prepare an organizational chart and associated role descriptions to reflect current reporting relationships, responsibilities, and departmental structure; and

WHEREAS, the Parties agree that the organizational chart prepared under this Agreement will be used for internal management, succession planning, and operational alignment subject to the terms and conditions set forth herein.

SCOPE OF WORK

Description of Services: The Service Provider will deliver an organizational chart and supporting documentation as described below. Deliverables shall include role titles, incumbent names where available, reporting lines, departmental alignment, and primary responsibilities for each role.

PAYMENT TERMS

Compensation for services provided under this Agreement shall be as set forth below. Fees are exclusive of applicable taxes unless otherwise stated.

Invoices unpaid after the due date shall accrue the Late Payment Fee set forth above. The Client shall also reimburse reasonable collection costs and attorneys' fees incurred by the Service Provider in enforcing payment obligations.

TERM AND TERMINATION

This Agreement commences on the Start Date set forth below and continues until the End Date unless earlier terminated as provided herein.

Either Party may terminate this Agreement for material breach if such breach remains uncured for the Notice Period above after written notice. Termination for cause is without prejudice to remedies accrued prior to termination.

CONFIDENTIALITY

Each Party agrees that all non-public information disclosed in connection with the preparation, transmission, or use of the organizational chart, whether written or oral, that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (Confidential Information), shall be held in strict confidence and used solely for purposes reasonably necessary to perform under this Agreement. Confidential Information does not include information that: (a) is or becomes generally available to the public through no fault of the receiving Party; (b) is rightfully received from a third party without breach of any obligation of confidentiality; or (c) is independently developed by the receiving Party without use of Confidential Information.

The receiving Party shall take commercially reasonable measures to protect Confidential Information and shall limit access to employees and contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflicts of law. Any disputes arising under this Agreement shall be resolved under such laws.

This Agreement, together with any attachments or schedules expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, and representations, whether written or oral. No amendment to this Agreement shall be effective unless in writing and signed by both Parties.

ADDITIONAL PROVISIONS

Ownership of Deliverables: Unless otherwise agreed in writing, upon full payment, the Client shall own the finalized organizational chart and role descriptions as delivered. The Service Provider retains the right to use general templates and methodologies subject to confidentiality obligations.
