WHEREAS, Client desires to retain Provider to perform an outdoor experience on the terms and conditions set forth in this Agreement and Provider is willing to provide such services under those terms; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

Either party may terminate this Agreement for material breach if the breach is not cured within days after written notice. Provider may also terminate immediately for safety concerns or weather conditions that make performance unsafe.

Assumption of Risk and Indemnification

Client acknowledges that participation in outdoor activities carries inherent risks, including but not limited to injury, illness, exposure to weather, and interaction with wildlife. Client voluntarily assumes all such risks and agrees that Provider, its officers, employees, agents, and subcontractors shall not be liable for personal injury, property damage, or death except in cases of gross negligence or willful misconduct.

Client shall indemnify, defend and hold harmless Provider from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Client's negligence, breach of this Agreement, or failure to follow Provider's safety instructions.

Safety, Compliance and Insurance

Provider represents that it will conduct activities in a commercially reasonable manner and use trained staff. Client agrees to follow all safety instructions and to disclose any medical conditions that may affect participation. Provider will maintain commercially reasonable liability insurance; policy details (if required) are:

Confidentiality

Each party agrees that it will not disclose Confidential Information of the other party except as required by law or with prior written consent. "Confidential Information" shall mean non-public business, technical or financial information disclosed in tangible form or orally and designated as confidential. The obligations of confidentiality survive termination of this Agreement for two years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Agreement, including any attached exhibits or schedules, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

Miscellaneous

Notices required by this Agreement shall be in writing and delivered to the addresses set forth above or such other addresses as the parties may designate in writing. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.
