OUTDOOR USE POLICY AGREEMENT

Recitals

WHEREAS, Provider Name: (the "Provider") owns or controls the outdoor premises described below; and

WHEREAS, User Name: (the "User") seeks permission to use said premises for outdoor activities subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations concerning permitted outdoor uses, safety, payment, and liability.

Premises and Permitted Use

Permitted uses shall include the activities expressly checked below and any additional activities specifically approved in writing by the Provider. The User shall not use the Premises for any unlawful purpose or any use that materially increases wear, damage, or risk without prior written consent.

Payment Terms

In consideration for the rights granted herein, User shall pay Provider as follows.

Late Payment: Any undisputed amount not paid when due shall accrue interest at a rate of % per month, or the maximum lawful rate if lower. User shall also be responsible for reasonable collection costs.

Insurance, Indemnity and Risk Allocation

Insurance Requirement: Prior to commencing any activity, User shall, at its sole cost, procure and maintain commercial general liability insurance in the minimum amount of per occurrence and name Provider as an additional insured where reasonably required. User shall provide certificates of insurance upon request.

Indemnity: User agrees to indemnify, defend and hold harmless Provider, its officers, employees and agents from and against any and all claims, damages, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of or relating to User's use of the Premises, except to the extent caused by Provider's gross negligence or willful misconduct.

Permits, Compliance and Site Rules

Permits and Compliance: User shall obtain and maintain at its expense all permits, licenses and approvals required by governmental authorities for the permitted uses. User shall comply with all applicable laws, ordinances, and Provider site rules. Responsibility for securing any temporary power, sanitation, traffic control or other services required for the activities shall rest with:

Safety, Repairs and Restoration

User shall conduct activities in a manner designed to protect public safety and the Premises. User shall promptly repair or pay for repair of any damage to the Premises caused by User's activities and shall restore the Premises to its condition at commencement of use, reasonable wear and tear excepted.

Term and Termination

Term: The term of this Agreement shall commence on Commencement Date (as indicated above) and shall expire on Termination Date unless earlier terminated in accordance with this section.

Termination for Convenience: Either party may terminate this Agreement upon written notice to the other party at least days prior to the effective date of termination.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within 15 days after written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one party to the other relating to business plans, technical data, pricing, or other proprietary matters, excluding information that is publicly known or rightfully obtained from a third party.

Obligation: Each party shall hold Confidential Information of the other party in strict confidence and shall not disclose it to any third party except to employees, contractors or professional advisors with a need to know, who are bound by comparable confidentiality obligations. Confidential Information shall be used solely for the performance of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. The parties agree to attempt good faith negotiation prior to commencing any litigation.

Entire Agreement; Amendments

This Agreement contains the entire understanding of the parties regarding the subject matter hereof and supersedes all prior agreements, representations and understandings, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.
