What an Overnight Float Agreement Is and Why It Matters

An Overnight Float Agreement defines how funds are handled between parties during the period between the end of one business day and the settlement or posting date the following business day. It typically sets the parties' rights and responsibilities for holding, transferring, or investing balances overnight, allocates credit for interest or earnings, and documents fees, cut-off times, and error resolution procedures. These agreements are used in cash management, treasury, and interbank contexts to reduce operational ambiguity and manage liquidity risk tied to timing differences in funding and settlement.

When an Overnight Float Agreement Protects Your Cash Position

Use a written Overnight Float Agreement to reduce disputes over timing of fund availability, to clarify who bears credit or debit for overnight earnings, and to document operational cut-offs. A clear agreement supports auditability and helps ensure compliance with banking and tax reporting requirements.

When an Overnight Float Agreement Protects Your Cash Position

Who Typically Completes an Overnight Float Agreement

Financial institutions, corporate treasury teams, payment processors, and commercial vendors commonly execute Overnight Float Agreements to manage intercompany or client cash sweep arrangements.

  • Banks and Credit Unions: Treasury and operations groups that settle ACH, wire, and interbank transfers.
  • Corporate Treasuries: In-house treasury managers controlling liquidity across subsidiaries and accounts.
  • Payment Processors and Gateways: Vendors that hold funds between authorization and settlement cycles.

Choose signatories with operational authority (treasury, finance, or authorized officer) and include points of contact for exception handling and reconciliations.

Stepwise Completion Checklist

Complete the core sections in order to create a legally clear, operationally enforceable agreement.

  • 01
Prepare Parties: Confirm legal names and authorized signers before drafting.
  • 02
Define Timing: Set explicit cut-off and settlement windows in local time zone.
  • 03
Allocate Earnings: Specify interest calculation, rounding, and posting rules.
  • 04
Sign and Distribute: Collect signatures and circulate fully executed copies to operations and reconciliation teams.

Fees and Charges

Itemize any per-transaction fees, settlement fees, or penalties for corrections and returned items.

Representations and Warranties

Assurances about authority, compliance with laws, and accuracy of account information.

Termination and Amendment

Notice periods, grounds for termination, and procedures for modifying cut-offs or rates.

Essential Information Checklist

Account Numbers: Provide routing and account numbers for settlement.
Authorized Signer: Name and title of signer with signing authority.
Contact Details: Operational contact for reconciliations and exceptions.

Typical Operational Flow for Overnight Float

Understanding the flow clarifies when funds are credited and who benefits from overnight balances.

  • End-of-Day Processing: Sender initiates transfers before the cut-off for same-day processing.
  • Float Period: Funds are held overnight; earning and posting rules apply per agreement.
  • Settlement Posting: Receiver posts funds the next business day according to posting rules.
  • Reconciliation: Parties reconcile postings and resolve exceptions within agreed windows.

Configuring an Electronic Workflow for Execution

  • Integrations: Connectors for treasury, ERP, or reconciliation systems
  • Authentication: Email, SMS, or advanced multi-factor authentication

  • Vague interest wording leads to different rounding and calculation outcomes between parties.
  • Missing or incorrect account numbers produce returns and reconciliation delays.
  • Failing to name an escalation contact increases resolution time for funding exceptions.

Operational and Legal Risks If the Agreement Is Incorrect

Reconciliation Costs: Increased manual corrections and bank fees
Liquidity Shortfall: Unexpected funding gaps for critical payments
Regulatory Exposure: Noncompliance with reporting rules or audit trail requirements
Counterparty Disputes: Contract disputes over interest allocation or posting date
Tax Reporting Errors: Misstated earnings affecting tax filings
Operational Delays: Delayed settlement and reputational harm
