RECITALS

WHEREAS, Designating Party: (hereafter "Designator") engages in operations that require completion, maintenance and oversight of a Job Hazard Analysis ("JHA") for the Project identified below; and

WHEREAS, Designator desires to designate and vest primary responsibility for the preparation, implementation and maintenance of the JHA in the person or entity identified as Designated Owner: ; and

WHEREAS, the parties intend by this Owner Designation JHA to set forth duties, scope, compensation and the terms under which the Designated Owner will act as Owner of the JHA for the Project described herein.

PROJECT & IDENTIFICATION

SCOPE OF WORK

The Designated Owner shall be responsible for preparing, implementing and maintaining the Job Hazard Analysis for the Project, including identification of hazards, development of controls, worker training documentation, and periodic review. Specific duties include, but are not limited to, the items listed below and any additional tasks agreed in writing.

LIABILITY AND INDEMNIFICATION

The parties acknowledge that the Designated Owner shall exercise reasonable professional skill and care in preparing and implementing the JHA. Designated Owner shall indemnify and hold harmless the Designator from claims arising from negligent performance of duties under this designation, except to the extent such claims arise from willful misconduct or gross negligence of the Designator or its agents.

GOVERNING LAW

This Owner Designation JHA shall be governed by and construed in accordance with the laws of the jurisdiction identified as: without regard to conflict of law principles.

ENTIRE AGREEMENT

This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings, proposals or representations relating to the designation of the JHA Owner. Any amendment shall be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS
