Payment Terms

Owner and Company agree that any fees payable to Owner will be governed by the terms below. Amounts shown are exclusive of applicable taxes unless otherwise stated.

Invoices not paid within the stated payment period shall be subject to the late fee specified above and the prevailing collection costs, including reasonable attorneys' fees. Company may withhold or offset payments for amounts reasonably disputed in good faith until resolution.

Term and Termination

This Agreement commences on the Start Date below and continues until the End Date below unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing the notice specified above. Termination for cause may be immediate if a material breach remains uncured following ten (10) days' written notice, where such cure is reasonably practicable.

Confidentiality

Owner acknowledges that, in the course of performance and information exchange, Owner may receive or have access to Confidential Information of Company. Confidential Information means non-public information disclosed by Company that is designated confidential or that, by its nature, a reasonable person would consider confidential.

Owner agrees to (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely for the purposes permitted under this Agreement; and (c) not disclose Confidential Information to any third party except as required by law or with Company's prior written consent. The confidentiality obligations herein survive termination for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict-of-law principles.

Entire Agreement

This Questionnaire and Agreement, together with any statements of work or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral.
