OWNER SERVICES CONTRACT

This Owner Services Contract (the "Agreement") is entered into as of by and between Owner: , located at (Contact: ), and Service Provider: , located at (Contact: ).

RECITALS

WHEREAS, Owner owns, manages, or controls certain assets, properties, and business interests for which Owner desires management, oversight and related services; and

WHEREAS, Service Provider represents that it has the expertise, personnel and resources to provide the services described in this Agreement in a competent and professional manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide such services to Owner.

NOW, THEREFORE

In consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. SERVICES

1.1 Scope. Service Provider shall perform the services described in the Scope of Services attached below and incorporated herein by reference. Service Provider shall perform all services with due care, in a professional and workmanlike manner, and in compliance with applicable law.

2. TERM

2.1 Commencement and Termination. The term of this Agreement shall commence on and continue until , unless earlier terminated in accordance with Section 11.

3. COMPENSATION; EXPENSES

3.1 Fees. Owner shall pay Service Provider the fees set forth below and in any work orders executed under this Agreement. Fees are exclusive of applicable taxes unless otherwise stated.

3.2 Reimbursable Expenses. Owner will reimburse Service Provider for reasonable, documented out-of-pocket expenses preapproved in writing by Owner. Reimbursement requires delivery of receipts or other substantiating documentation.

4. INDEPENDENT CONTRACTOR

Service Provider is an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, joint venture or fiduciary relationship between the parties. Service Provider is solely responsible for withholding and payment of all employment-related taxes for its personnel.

5. CONFIDENTIALITY

5.1 Definition. "Confidential Information" means nonpublic information disclosed by a party that is designated as confidential or would reasonably be understood to be confidential given the nature of the information.

5.2 Nondisclosure. Each party shall hold Confidential Information in strict confidence and shall not disclose such information except to those employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

6. INTELLECTUAL PROPERTY

6.1 Work Product. Unless otherwise agreed in writing, all tangible work product, reports and deliverables created by Service Provider specifically for Owner in the performance of this Agreement shall be deemed "Work Product" and shall be the exclusive property of Owner upon full payment of all amounts due.

6.2 Preexisting Materials. Service Provider retains ownership of preexisting proprietary materials and tools used in providing services. Service Provider grants Owner a nonexclusive, nontransferable license to use such preexisting materials only as incorporated in the Work Product for Owner's internal purposes.

7. INSURANCE

Service Provider shall, at its expense, maintain commercial general liability insurance and, where applicable, professional liability and workers' compensation insurance in amounts reasonably acceptable to Owner. Upon request, Service Provider shall provide certificates evidencing such coverage.

8. INDEMNIFICATION

Service Provider shall indemnify, defend and hold harmless Owner and its officers, directors and agents from and against any third-party claims, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of Service Provider's negligence, willful misconduct, or material breach of this Agreement.

9. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNTS PAID OR PAYABLE TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. COMPLIANCE WITH LAW

Each party shall comply with all applicable federal, state and local laws, rules and regulations in performing its obligations under this Agreement, including but not limited to labor, employment, tax and privacy laws.

11. TERMINATION

11.1 For Cause. Either party may terminate this Agreement for material breach by the other party upon written notice if such breach is not cured within thirty (30) days after receipt of notice specifying the breach.

11.2 For Convenience. Owner may terminate this Agreement without cause upon thirty (30) days' prior written notice to Service Provider. In the event of termination for convenience, Service Provider shall be entitled to payment for services performed and documented expenses incurred through the effective date of termination.

12. NOTICES

All notices, consents or other communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, by nationally recognized overnight courier, or by certified mail, return receipt requested, to the addresses below or to such other address as a party may designate in writing.

13. AMENDMENTS; WAIVER

No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. No waiver of any provision shall constitute a waiver of any other provision or a continuing waiver unless expressly stated in writing.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be binding and treated as originals.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state indicated below without regard to principles of conflicts of laws.

16. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, together with any exhibits or work orders executed hereunder, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

17. MISCELLANEOUS

17.1 Assignment. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Owner may assign to an affiliate or successor of substantially all of its assets without such consent.

17.2 Subcontracting. Service Provider may engage subcontractors to perform portions of the services provided that Service Provider remains responsible for the performance of all obligations under this Agreement.
