OWNER SURRENDER AGREEMENT

This Owner Surrender Agreement ("Agreement") is made and entered into as of by and between:

WHEREAS

WHEREAS, Owner is the lawful owner of the property described as (the "Property"), free and clear of all liens and encumbrances except as disclosed in writing to Recipient; and

WHEREAS, Owner desires to surrender and transfer all right, title and interest in and to the Property to Recipient, and Recipient desires to accept surrender of the Property and assume custody, ownership and responsibility in accordance with the terms set forth herein.

WHEREAS, the parties intend by this Agreement to set forth the terms, conditions and consideration for such surrender and transfer.

SCOPE OF WORK / RESPONSIBILITIES

Recipient shall take possession of the Property upon the Effective Date and shall be responsible for all handling, storage, care, disposition, and any necessary transfer documentation thereafter. Owner hereby authorizes Recipient to undertake such actions as are reasonably necessary to effect transfer of title, registration, or disposal of the Property.

PAYMENT TERMS

As full and fair consideration for the surrender and transfer of the Property, the parties agree the following compensation arrangement shall apply:

TRANSFER OF TITLE AND POSSESSION

Upon execution of this Agreement and satisfaction of any consideration obligations described above, Owner hereby irrevocably surrenders, assigns and transfers to Recipient all right, title and interest in and to the Property. Recipient shall accept delivery and possession of the Property and shall be solely responsible for any registration, transfer fees, taxes, or other costs incurred in connection with transfer of ownership.

REPRESENTATIONS, WARRANTIES AND RELEASE

Owner represents and warrants that Owner is the legal owner of the Property, that Owner has full authority to transfer the Property, and that the Property is not subject to any undisclosed security interests, liens, or third-party claims. Owner further warrants that to Owner’s knowledge there are no material defects in the Property other than those disclosed in writing to Recipient.

Owner, to the fullest extent permitted by law, hereby releases Recipient and its affiliates, officers, agents, and employees from any and all claims, demands, liabilities or causes of action of any kind arising out of or related to the Property prior to the Effective Date, except for claims arising from Recipient’s willful misconduct or gross negligence after taking possession.

INDEMNIFICATION

Each party agrees to indemnify, defend and hold harmless the other party from and against any and all losses, liabilities, claims, damages, costs and expenses (including reasonable attorneys' fees) arising out of a breach of such party’s representations, covenants, or obligations under this Agreement, or arising from acts or omissions in connection with the Property occurring after transfer of possession.

CONFIDENTIALITY

The parties agree to keep confidential all non-public information concerning the negotiations and terms of this Agreement and any disclosed proprietary information regarding the Property, except as required by law or with the prior written consent of the other party. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date identified above and shall continue in effect until the earlier of: (a) transfer of title and full acceptance of the Property by Recipient in accordance with this Agreement; or (b) . Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after receipt of written notice specifying the breach.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. Any legal action arising from this Agreement shall be brought in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that they have read and understand this Agreement and enter into it voluntarily.
