OWNERSHIP AGREEMENT

This Ownership Agreement (the "Agreement") is made and entered into as of Effective Date: by and between the parties identified below.

WHEREAS, Owner 1 and Owner 2 desire to set forth their respective ownership interests, capital contributions, management responsibilities, and rights in relation to the asset, business, or property described herein (the "Subject Property" or "Business");

WHEREAS, the parties intend for this Agreement to govern the allocation of profits and losses, transfer restrictions, and procedures for dispute resolution and termination of their ownership relationship;

WHEREAS, the parties agree that the terms set forth in this Agreement shall supersede any prior understandings or agreements, whether written or oral, between the parties concerning the Subject Property or Business.

Scope of Work

The parties agree that the following scope describes the ownership rights, duties, and activities each owner will perform in connection with the Subject Property or Business. The parties will carry out the activities described below in good faith and in accordance with industry standards.

Capital Contributions and Ownership Interests

Each party's ownership interest shall be as set forth in the Parties section above. Capital contributions, whether in cash, property, services, or other consideration, shall be recorded and credited to the contributing party. Additional contributions required for operations or capital improvements shall be made as agreed in writing by the parties.

Payment Terms

Any payments between the parties related to distributions, buyouts, or compensation for services shall be governed by the terms below. Distributions shall be made in proportion to ownership percentages unless otherwise agreed in writing.

Term and Termination

The term of this Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period above. Termination shall not relieve either party of obligations accrued prior to the effective date of termination, including payment obligations and confidentiality.

Transfer Restrictions

Except as expressly permitted by this Agreement, neither party shall transfer, assign, pledge, or encumber its ownership interest without the prior written consent of the other party, which consent shall not be unreasonably withheld. Any purported transfer in violation of this section shall be void and of no force or effect.

Confidentiality

Each party (the "Receiving Party") shall maintain in strict confidence all Confidential Information disclosed by the other party (the "Disclosing Party"). "Confidential Information" includes nonpublic financial data, pricing, business plans, trade secrets, customer lists, and other proprietary information. The Receiving Party shall not disclose Confidential Information to any third party except to its employees, advisors, or agents who have a need to know and are bound to confidentiality obligations no less protective than those herein. Confidentiality obligations survive termination of this Agreement for a period of five (5) years, except that trade secrets shall remain protected for as long as permitted by law.

Representations and Warranties

Each party represents and warrants that it has the full corporate or individual power and authority to enter into this Agreement and to perform its obligations hereunder, that this Agreement constitutes a legal, valid, and binding obligation, and that entering into this Agreement does not conflict with any other agreement to which the party is bound.

Remedies and Indemnification

The parties agree that monetary damages may be an inadequate remedy for breaches involving disclosure of Confidential Information or violations of transfer restrictions, and that equitable relief (including injunctive relief and specific performance) shall be available in addition to any other remedies at law or in equity. Each party shall indemnify, defend, and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, and reasonable costs (including attorneys' fees) arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles.

Dispute Resolution

Any dispute arising out of or relating to this Agreement shall first be referred to senior representatives of the parties for good faith negotiation for a period of thirty (30) days. If unresolved, the dispute shall be resolved by binding arbitration administered in the governing state in accordance with rules that provide for a written award. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Entire Agreement

This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral. Any amendment or modification of this Agreement must be in writing and executed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered in person, by certified mail (return receipt requested), or by reputable overnight courier to the addresses listed in the Parties section or to such other address as a party may designate by written notice to the other.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach of this Agreement shall constitute a waiver of any other breach. The headings in this Agreement are for convenience only and shall not affect interpretation.
