RECITALS

All information disclosed pursuant to this Form shall be treated as confidential by Receiving Party and shall not be used except as necessary for the purposes set forth in the parties' governing agreements or as required by law. Notwithstanding the foregoing, Receiving Party may disclose information to its legal counsel, auditors and regulatory authorities as necessary, provided such parties are bound by confidentiality obligations no less protective than those contained herein.

7. NOTICES

Notices under this Form shall be given in writing and delivered to the addresses set forth at the beginning of this Form or to such other address as a party designates by written notice to the other party.

8. MISCELLANEOUS

Governing Law: This Form shall be governed by and construed in accordance with the laws of the jurisdiction specified in the parties' underlying agreement. If no governing jurisdiction is specified in such agreement, the parties agree that the laws of the state identified below shall govern: .

Entire Agreement: This Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written disclosures and representations concerning ownership disclosure.
