Transferor represents and warrants that it is the lawful owner of the assets listed above, that title is free and clear of all liens, security interests, and encumbrances except as expressly disclosed in writing to Transferee, and that Transferor has full authority to convey the assets. Transferor further warrants that the assets are being transferred without intent to defraud creditors or third parties.

Transferee acknowledges that, except for express written representations contained in this document, assets are transferred on an "as-is, where-is" basis, with all faults. Transferee is responsible for inspection and verification of condition, quantity, and suitability prior to acceptance and assumes all risk of loss upon delivery as specified in this agreement.

Indemnification & Taxes
