RECITALS

WHEREAS, Client engages Supplier to provide packaging design, packaging production, and labeling services for Client's products in accordance with the specifications and standards set forth in this Agreement; and

WHEREAS, Supplier represents that it has the technical capability, facilities, and experience to perform the packaging and labeling services and to comply with applicable product labeling, safety, and regulatory requirements; and

WHEREAS, the parties desire to set forth their respective rights and obligations relating to the packaging, labeling, artwork approval, quality acceptance, and payment terms for the work described herein.

SCOPE OF WORK

Supplier shall perform packaging and labeling services including design review, material procurement, production of packaging components, application of labels, printing of batch and lot codes, and final packaging ready for shipment in accordance with Client specifications set forth below and any mutually agreed written change orders.

PAYMENT TERMS

Client shall pay Supplier for the services performed in accordance with the schedule and amounts set forth below. All amounts are in the agreed currency unless otherwise specified.

TERM AND TERMINATION

This Agreement commences on Start Date and continues until End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the nature of the breach. Termination does not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Each party shall keep confidential all proprietary, technical, commercial, and financial information disclosed by the other party in connection with this Agreement (Confidential Information). Confidential Information shall not include information that is publicly available other than by breach of this Agreement, independently developed without use of Confidential Information, or lawfully received from a third party without restriction. The receiving party shall not disclose Confidential Information to any third party and shall use it solely for performance of this Agreement.

CHANGE CONTROL

Any variation to specifications, quantities, materials, labels, or delivery schedules shall be made only by written change order signed by authorized representatives of both parties. Supplier shall not proceed with changes without documented approval and may charge for any additional costs reasonably incurred from approved changes.

INDEMNIFICATION

Each party shall indemnify, defend, and hold harmless the other party from and against any third-party claims, losses, damages, liabilities, and expenses arising out of (a) the indemnifying party's negligence or willful misconduct, (b) breach of representations and warranties, or (c) infringement of third-party intellectual property rights arising from use of designs or materials supplied by the indemnifying party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of: without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including attachments and mutually executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings, and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
