CONFIDENTIALITY

Each party shall maintain in confidence all proprietary and confidential information disclosed by the other party relating to goods, packing methods, pricing, client lists, and trade secrets (collectively, "Confidential Information"). Confidential Information shall not be disclosed to third parties except as required for performance of this Agreement or by law. Confidentiality obligations shall survive termination for a period of three (3) years, or longer where trade secret protection applies.

LIMITATION OF LIABILITY

Provider shall be liable for direct physical loss or damage to goods resulting from Provider's negligent packing or willful misconduct, subject to exclusions for pre-existing defects, improper documentation by Client, and force majeure. Neither party shall be liable for incidental, consequential or punitive damages except in cases of gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction designated here: without regard to conflicts of law principles.

ENTIRE AGREEMENT

This document, together with any attachments and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
