PACKING SERVICES AGREEMENT

This Packing Services Agreement (the "Agreement") is entered into by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing professional packing, crating and related services for household goods, commercial equipment and other property; and

WHEREAS, Client desires to engage Service Provider to perform packing services for certain goods described herein and Service Provider agrees to perform such services under the terms and conditions set forth in this Agreement.

WHEREAS, the parties wish to set forth their respective rights and obligations in a written agreement.

SCOPE OF WORK

Service Provider agrees to provide packing services as described below, including supplying packing materials, wrapping, crating where necessary, labeling, and preparing items for transport or storage. Specific tasks, exclusions and any special handling instructions are set forth in the Scope of Work field.

PAYMENT TERMS

Client shall pay Service Provider for packing services in accordance with the following terms. All sums are due in United States dollars unless otherwise agreed in writing.

Amounts not paid when due shall accrue interest at the rate of or the maximum allowed by law, and Client shall be responsible for collection costs and reasonable attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until the End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice not less than days prior to the intended termination date. Either party may terminate immediately for material breach if the breach is not cured within 10 days after written notice.

Upon termination, Client shall pay Service Provider for all work performed to the termination date, including reasonable costs incurred and for materials ordered that cannot be canceled.

CONFIDENTIALITY

Each party acknowledges that in performing under this Agreement it may receive confidential information of the other party. "Confidential Information" means non-public business, technical, financial or other information disclosed in connection with this Agreement. Each party agrees to hold Confidential Information in strict confidence and not to disclose it to any third party except to employees, contractors or agents who need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. Confidentiality obligations shall survive termination for a period of three (3) years.

INSURANCE AND LIABILITY

Service Provider shall maintain commercial general liability and, where applicable, workers' compensation insurance. Except to the extent of gross negligence or willful misconduct, Service Provider's liability for loss or damage to Client's goods arising from packing services shall be limited to the lesser of actual proven damages or the charge paid for the packing services giving rise to the claim.

NOTICES

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments and pricing schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, representations and understandings. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force. The parties are independent contractors and nothing herein creates a partnership, joint venture, or employment relationship. Neither party may assign this Agreement without the other party's prior written consent, except to an affiliate or successor in interest.
