COMPLIANCE & CERTIFICATIONS

Supplier certifies that packaging materials and methods shall comply with all applicable laws, industry standards, and Client's requirements. Supplier shall, upon request, provide certificates of compliance, material safety data, and proof of recycled content where required.

PAYMENT TERMS

Invoices shall be payable in accordance with the schedule above. Late payments shall incur a late fee equal to per month on the outstanding balance, calculated monthly and compounded.

CONFIDENTIALITY

Confidential Information shall not include information that is: (a) already known to the receiving party without obligation of confidentiality; (b) becomes publicly available other than by breach of this Specification; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.

The obligations of confidentiality shall continue for years following termination or expiration of this Specification. Remedies for breach include injunctive relief and monetary damages.

GOVERNING LAW

This Specification shall be governed by and construed in accordance with the laws of the jurisdiction of , without giving effect to conflicts of law principles.

ENTIRE AGREEMENT

This Specification, together with any referenced appendices, purchase orders, and exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
