Confidentiality

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to choice-of-law principles. The parties agree that venue for any action arising out of this Agreement shall be the courts located in that state.

This Agreement, together with any incorporated specifications, schedules, and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment shall be effective except in writing signed by both parties.

Indemnity and Insurance (Summary)
