WHEREAS, the parties desire to set forth the scope, price, schedule and other terms and conditions under which Contractor will perform the Work.

The Contractor shall furnish all labor, materials, equipment, permits and supervision necessary to complete the following work at the Project Address. All work shall be performed in a workmanlike manner and in compliance with applicable codes and good trade practice.

Payment Terms

Deposit: Client shall pay a non-refundable deposit of of the Total Bid Amount upon execution of this Bid to secure scheduling.

Late Payment: Any undisputed past-due amount shall accrue interest at (or the maximum permitted by law), and Client shall be responsible for collection costs and reasonable attorney fees.

Warranty

Each party agrees to keep confidential and not disclose to third parties non-public business information of the other party learned in connection with this Bid. This obligation shall continue for a period of from the date of execution, except as required by law.

Insurance; Indemnification

Contractor shall maintain commercial general liability insurance and workers' compensation as required by applicable law and shall furnish proof of insurance upon Client request prior to mobilization. Contractor agrees to indemnify and hold Client harmless from claims arising out of Contractor's negligence in performance of the Work, except to the extent caused by Client's negligence or third-party acts.

Governing Law; Entire Agreement

This Bid and any resulting agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.
