Either party may terminate this Quote and any resulting Contract for material breach by the other party if such breach is not cured within days after written notice. Confidentiality

Each party shall treat as confidential any non-public business or technical information disclosed by the other party in connection with this Quote and any resulting agreement. Confidential information shall not include information that is or becomes public through no fault of the receiving party, or that is rightfully received from a third party without restriction. Receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but no less than reasonable care.

Warranties and Performance

Contractor warrants that work will be performed in a professional and workmanlike manner and that materials furnished will conform to the standards specified in the Scope of Work. Contractor's warranty for workmanship shall extend for months from completion, subject to normal wear and misuse exclusions.

Indemnity and Insurance

Contractor shall maintain general liability and workers' compensation insurance as required by law and shall indemnify and hold harmless Client from claims arising out of Contractor's negligence or willful misconduct in the performance of services under this Quote.

Governing Law; Entire Agreement

This Quote and any resulting contract shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. This Quote, together with any attachments and accepted change orders, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior negotiations, proposals, and communications, whether written or oral.

Acceptance and Authorization

By signing below, Client accepts this Painting Service Quote and authorizes Contractor to proceed with the work in accordance with the Scope of Work, payment terms, and other provisions contained herein. Any modifications to this Quote must be in writing and signed by both parties.
