PANELIST AGREEMENT

This Panelist Agreement (the Agreement) is entered into by and between Event Organizer: with an address at and Panelist: , collectively referred to as the Parties.

RECITALS

WHEREAS, Organizer is producing or hosting an event entitled: scheduled to occur on (the Event); and

WHEREAS, Panelist has expertise relevant to the Event and agrees to serve as a presenter, speaker, or panel participant under the terms set forth below; and

WHEREAS, Organizer desires to engage Panelist and Panelist desires to provide such services on the terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. ENGAGEMENT; SERVICES

1.1 Engagement. Organizer hereby engages Panelist, and Panelist accepts such engagement, to perform the services described in Section 1.2 at the Event on the date and time designated by Organizer.

1.2 Services. Panelist shall prepare and present a presentation, participate in a panel discussion, and attend scheduled rehearsals and briefings as reasonably requested by Organizer (the Services). Panelist shall provide all materials, slides, and handouts in electronic format by the deadline specified by Organizer:

2. TERM

The term of this Agreement shall commence on the Effective Date and shall terminate upon completion of the Services at the Event and final settlement of all amounts due, unless earlier terminated in accordance with Section 9.

3. COMPENSATION AND EXPENSES

3.1 Payment. Organizer shall pay Panelist the fee set forth above within days of receipt of an invoice unless otherwise agreed in writing.

3.2 Expenses. Organizer will reimburse Panelist for reasonable pre-approved travel and lodging expenses related to the Event up to a maximum of , upon submission of receipts. Reimbursement does not include personal incidental expenses.

3.3 Taxes. Panelist is responsible for all federal, state, and local taxes arising from the compensation paid under this Agreement. Organizer shall not withhold taxes unless required by law.

4. INDEPENDENT CONTRACTOR

Panelist is an independent contractor and not an employee, agent, or partner of Organizer. Panelist shall have no authority to bind Organizer to any obligations. Panelist shall provide the Services at times and in a manner consistent with this Agreement and shall be solely responsible for all employment taxes and benefits for any assistants or subcontractors.

5. INTELLECTUAL PROPERTY; RECORDING

5.1 Ownership of Materials. Panelist retains ownership of pre-existing intellectual property and any original materials created by Panelist for the presentation. Panelist grants Organizer a non-exclusive, worldwide, royalty-free license to reproduce, distribute, display, perform, and create derivative works of the presentation materials in connection with the Event and promotional activities, including recorded sessions, for the term of the license.

5.2 Recording and Use of Likeness. Organizer may record audio, video, and photographic images of the Services. Panelist hereby irrevocably grants Organizer the right to use, edit, publish, and distribute the recordings and Panelist’s name, voice, and likeness in connection with the Event and Organizer’s promotional, educational, and archival purposes, in any media now known or hereafter devised.

6. CONFIDENTIALITY

Each Party shall keep confidential any non-public information clearly designated as confidential by the disclosing Party or that reasonably should be understood to be confidential under the circumstances. Confidential information does not include information that is or becomes publicly available without breach, is independently developed, or is required to be disclosed by law. A receiving Party shall use confidential information only to perform its obligations under this Agreement.

7. REPRESENTATIONS AND WARRANTIES

Panelist represents and warrants that: (a) Panelist has the full right and authority to enter into this Agreement and to grant the rights granted herein; (b) Panelist’s participation and materials do not infringe any third-party rights; and (c) any materials provided will not contain defamatory or illegal content. Organizer represents and warrants that it has the right to host the Event and to engage Panelist under the terms of this Agreement.

8. INDEMNIFICATION

Each Party (Indemnifying Party) shall indemnify, defend, and hold harmless the other Party (Indemnified Party) from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of the Indemnifying Party’s breach of this Agreement, negligence, willful misconduct, or violation of law.

9. TERMINATION

Either Party may terminate this Agreement for material breach by the other Party if such breach is not cured within days after written notice. Organizer may terminate without cause upon written notice to Panelist; in such event Organizer shall pay Panelist for Services performed through the termination date and any non-cancellable pre-approved expenses.

10. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither Party shall be liable to the other for consequential, incidental, punitive, or special damages, and each Party’s aggregate liability under this Agreement shall not exceed the total fees paid by Organizer to Panelist under this Agreement.

11. INSURANCE

Panelist shall maintain any insurance required by law and such additional coverages as reasonably requested by Organizer for the duration of the Event. Upon Organizer’s request, Panelist shall provide certificates of insurance evidencing such coverage.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or national overnight courier service, or by email with confirmation of receipt.

13. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment or modification of this Agreement must be in writing and signed by both Parties. No failure or delay by either Party in exercising any right will operate as a waiver of that right. This Agreement may be executed in counterparts, each of which will be deemed an original and all of which together constitute one instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement will be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles. This Agreement contains the entire understanding of the Parties relating to the subject matter hereof and supersedes all prior agreements and understandings, whether oral or written. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. MISCELLANEOUS PROVISIONS

15.1 Publicity. Except as provided in Section 5.2, neither Party shall use the other Party’s trademarks or trade names without prior written consent. Organizer may list Panelist as a confirmed participant for the Event.

15.2 Subcontracting. Panelist may engage subcontractors only with Organizer’s prior written consent and remains responsible for the subcontractor’s performance.
