RECITALS

WHEREAS, Pantry Owner is the lawful owner or authorized operator of the pantry and associated facilities located at: (the "Premises"), and maintains food storage and service infrastructure necessary for short-term food distribution and storage; and

Either party may terminate this Agreement for cause if the other party materially breaches any provision of this Agreement and fails to cure such breach within the notice period specified above. Termination for convenience by either party requires the foregoing notice and payment of any accrued, undisputed fees through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, financial, technical, or operational information disclosed in tangible or intangible form. The receiving party shall (a) maintain the confidentiality of such information with at least the same degree of care it uses to protect its own confidential information, (b) use such information solely for the purposes permitted under this Agreement, and (c) not disclose such information to third parties except to employees, agents, or permitted subcontractors who have a need to know and who are bound to confidentiality obligations at least as restrictive as those herein. Confidential Information shall not include information that is or becomes generally available to the public through no fault of the receiving party or is independently developed without use of the disclosing party's Confidential Information.

INSURANCE AND INDEMNIFICATION

Accessing Party shall, at its own expense, maintain commercial general liability insurance covering its activities on the Premises with limits no less than those required by Pantry Owner: and shall provide evidence of such insurance upon request. Accessing Party shall indemnify, defend and hold harmless Pantry Owner and its agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of Accessing Party's use of the Premises, except to the extent caused by Pantry Owner's gross negligence or willful misconduct.

OPERATING RULES AND COMPLIANCE

Accessing Party shall comply with all applicable food-safety laws, health codes, and regulations. Any violation that creates an imminent health or safety risk will permit Pantry Owner to revoke access immediately and pursue recovery of costs and damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of: without regard to its conflicts of law rules. Any dispute arising out of or relating to this Agreement shall be resolved in the courts located within that jurisdiction, and the parties consent to the personal jurisdiction of such courts.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification of this Agreement will be effective unless made in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The parties are independent contractors and nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties.
