What a Parcel Purchase Agreement Is and When It Applies

A Parcel Purchase Agreement is a written contract that records the terms for buying and selling a defined tract of land (a parcel). It identifies parties, legal property description, price, deposit and escrow arrangements, contingencies (title, survey, environmental, financing), closing procedures, prorations, and allocation of closing costs. The agreement creates enforceable obligations once signed and delivered, and it often integrates exhibits such as surveys, title commitments, and escrow instructions to clarify obligations before transfer and recording.

Why a Clear Parcel Purchase Agreement Matters

A clear Parcel Purchase Agreement reduces ambiguity about price, title risk, and timing, and it sets the procedures for inspections, financing, and closing. Well-drafted terms protect buyer and seller expectations and reduce the likelihood of disputes or closing delays.

Why a Clear Parcel Purchase Agreement Matters

Who Typically Prepares and Signs This Agreement

Buyers, sellers, brokers, title companies, and lenders commonly prepare or review parcel purchase agreements before closing.

  • Buyer representatives and investors evaluating legal description, contingencies, and financing terms.
  • Sellers and listing brokers who set price, deposit, disclosure, and transfer conditions.
  • Title companies, escrow agents, and lenders who verify title, handle funds, and enforce closing requirements.

Each party should confirm authority to sign, any required corporate approvals, and whether notarization, witnesses, or recording actions are required in the chosen jurisdiction.

Step-by-Step: Completing a Parcel Purchase Agreement

Follow this sequence to prepare a complete and enforceable agreement before routing for signatures.

  • 01
    1. Identify Parties: Enter full legal names for buyer and seller as on government records.
  • 02
    2. Describe Parcel: Insert the recorded legal description and parcel ID from the deed or tax record.
  • 03
    3. State Consideration: Specify purchase price, deposit amount, and who holds earnest money.
  • 04
    4. Set Deadlines: Add inspection, financing, and closing dates with remedies for missed deadlines.

Customizing an Online Signing Workflow

When completing the agreement online, configure fields and signer order to match the transaction flow and compliance needs.

Field Configuration
Signing Order Specify sequential or parallel signing to match escrow and lender requirements
Required Fields Mark legal description, price, effective date, and signature as required
Authentication Choose email, SMS code, or advanced ID verification depending on risk
Attachments Attach title commitment, survey, and inspection report as required exhibits

Where to File and How Signatures Flow

Routing and filing depend on whether the agreement triggers recording or requires escrow processing.

  • Send to Title: Escrow agent receives agreement to begin title and escrow work.
  • Obtain Consents: Lender and lienholder approvals are gathered if required.
  • Execute Closing: Parties sign final documents and funds are wired per escrow instructions.
  • Record Deed: County recorder files deed after closing and payment of recording fees.

Digital Signing and eSubmission Requirements

Choose an eSignature workflow that supports audit trails, optional advanced authentication, and PDF output compatible with county recorders.

  • File Formats: PDF and DOCX supported
  • Integrations: Works with title and escrow systems
  • Authentication: Email, SMS, or higher-assurance options

Ensure the chosen platform can produce a tamper-evident signed PDF, export an audit trail, and meet any notarization or witness workflows required by the recorder or title insurer.

Typical Deadlines and Timeframes in a Parcel Purchase

Parcel transactions include multiple short windows; document each deadline and remedy in the agreement to avoid disputes.

Earnest Money Deposit:

Due within 3–5 business days after contract acceptance unless otherwise stated

Due Diligence Period:

Commonly 10–30 days for inspections, survey, and title review

Financing Contingency:

Buyer to remove or terminate within agreed period, often 30–45 days

Closing Date:

Set a specific calendar date; extensions require written amendment

Recording Deadline:

Deed usually recorded within 1–5 business days after funding

Key Transaction Milestones

Track major milestones from acceptance through recording so each party knows upcoming obligations.

01

Offer Accepted

Agreement executed by buyer and seller; earnest money becomes effective

02

Due Diligence Complete

Buyer completes inspections and removes contingencies or terminates

03

Financing Cleared

Lender issues commitment and conditions are satisfied

04

Closing & Recording

Funds disbursed, deed executed and filed with county recorder

Common Mistakes to Avoid

  • Using informal property descriptions instead of recorded legal descriptions leading to recording rejection or ambiguity in chain of title.
  • Failing to specify which closing costs the buyer or seller will pay, causing last-minute disputes and delayed funding.
  • Neglecting to attach key exhibits (survey, title commitment) so buyer cannot properly assess title and physical boundaries.
  • Omitting signer authority statements for entities, which can invalidate execution and require corrective documents or affidavits.

Legal Risks and Consequences of Errors

Earnest Money Forfeiture: Buyer risk of losing deposit
Title Exceptions: Unresolved liens prevent clear transfer
Recording Delay: Leads to priority and financing problems
Contract Rescission: Material breach can allow termination
Tax Issues: Incorrect proration or reporting consequences
Notary Defect: Invalid notarization may require re-execution

Core Contract Sections to Include

Closing Mechanics

Location, required deliverables, prorations, recording responsibilities, and payment of transfer taxes or fees to ensure smooth settlement and proper public record entry.
