PARKING GARAGE RENTAL AGREEMENT

This Parking Garage Rental Agreement (the "Agreement") is entered into as of by and between Lessor Name: with Lessor Address: and Lessee Name: with Lessee Address: .

RECITALS

WHEREAS, Lessor is the lawful owner or authorized manager of the parking garage facility located at (the "Garage"); and

WHEREAS, Lessee desires to lease from Lessor, and Lessor desires to lease to Lessee, certain parking space(s) within the Garage for vehicle parking subject to the terms and conditions set forth herein.

WHEREAS, the parties intend for this Agreement to set forth the full terms governing Lessee's use of the leased parking space(s).

SCOPE OF WORK / DESCRIPTION OF SPACE

Permitted use: Lessee shall use the leased parking space solely for the parking of operable motor vehicle(s) and incidental ingress and egress. Storage of merchandise, hazardous materials, or dwelling in a motor vehicle is prohibited. Lessor reserves the right to assign specific parking locations within the Garage and to relocate Lessee to a comparable space upon reasonable notice.

PAYMENT TERMS

Rent is due on the day of each month in advance at Lessor's address or other designated payment location. Payments not received within days after the due date shall incur a late fee of .

All sums due under this Agreement are exclusive of any present or future taxes, assessments, or governmental charges imposed upon the rental or use of the parking space, which shall be the responsibility of .

TERM AND TERMINATION

Term: The term of this Agreement shall commence on and shall expire on , unless earlier terminated in accordance with this Agreement.

Termination for Default: Either party may terminate this Agreement upon written notice if the other party materially breaches any obligation and fails to cure such breach within days after receiving written notice of the breach. Upon termination, Lessee shall promptly vacate the parking space and return any access devices to Lessor.

Holdover: If Lessee remains in possession after the expiration of the term without Lessor's written consent, Lessee shall be liable for holdover rent at a rate of 150% of the monthly rent plus any damages.

MAINTENANCE, ACCESS, AND SECURITY

Lessor shall maintain the structural integrity and common areas of the Garage. Lessee shall keep the leased parking space clean and shall be responsible for removal of oil or other vehicle-related stains caused by Lessee’s vehicle. Lessor shall have the right to enter the leased space for inspection, maintenance, or emergency purposes upon reasonable notice except in emergency situations where no notice is required.

Keys, access cards, and parking permits remain the property of Lessor and must be returned upon termination. Lost or unreturned access devices shall incur a replacement charge payable by Lessee of .

INSURANCE AND INDEMNITY

Lessee shall maintain at its expense comprehensive automobile liability insurance covering claims arising from Lessee's use of the leased space with limits not less than , naming Lessor as an additional insured where applicable. Lessee shall indemnify, defend and hold harmless Lessor from and against all claims, liabilities, damages and expenses arising out of Lessee's use of the Garage, except to the extent caused by Lessor’s gross negligence or willful misconduct.

CONFIDENTIALITY

Each party shall keep confidential all non-public business information, security procedures, access codes, and financial terms disclosed by the other party in connection with this Agreement, and shall not disclose such information except as required by law or with the prior written consent of the disclosing party. This obligation survives termination of this Agreement for a period of two (2) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral.
