PARKING LEASE ADDENDUM

This Parking Lease Addendum (the "Addendum") is made effective as of and is entered into by and between Lessor: whose address is , and Lessee: whose address is .

Recitals

WHEREAS, Lessor and Lessee are parties to a principal lease agreement dated (the "Lease"); and

WHEREAS, Lessee desires to obtain, and Lessor is willing to grant, the non-exclusive/exclusive right to use the parking space described below subject to the terms of the Lease as modified by this Addendum; and

WHEREAS, the parties intend for this Addendum to supplement and govern the parties' rights and obligations with respect to the parking space.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

The parking space shall be used solely for the parking of the vehicle(s) described above. Lessee shall not use the parking space for storage, repair, or commercial activities. Vehicles must not exceed maximum dimensions or weight as required by Lessor. Lessor reserves the right to impose reasonable rules and regulations regarding access, towing, and hours of permitted use.

4. Payment Terms

All parking fees are payable in the same manner as rent under the Lease unless otherwise stated. Late fees shall accrue as specified above and Lessee shall be responsible for any collection costs, including reasonable attorneys' fees.

5. Term and Termination

The term of this Addendum shall commence on and shall terminate on unless earlier terminated in accordance with this Addendum or the Lease.

Termination for cause: Either party may terminate this Addendum on account of the other party's material breach if such breach is not cured within days after written notice.

6. Maintenance; Damage; Towing

Lessee shall keep the assigned parking space clean and shall not permit hazardous materials or substances to be stored or deposited in the space. Lessee shall be responsible for any damage caused by Lessee's vehicle(s) or actions. Lessor may remove or cause to be removed any vehicle parked in violation of this Addendum or posted rules at Lessee's expense, and Lessee shall pay applicable towing and storage charges.

Lessee consents to towing in accordance with posted rules and this Addendum.

7. Insurance and Indemnity

Lessee shall maintain automobile liability insurance covering vehicles using the parking space in amounts not less than the limits set forth below. Lessee shall indemnify, defend and hold Lessor harmless from any claims, losses, liabilities or expenses arising out of Lessee's use of the parking space, except to the extent caused by Lessor's gross negligence or willful misconduct.

8. Confidentiality

Each party shall keep confidential and shall not disclose to any third party the financial terms of this Addendum and any nonpublic operational information of the other party disclosed in connection with this Addendum, except as required by law or to the extent reasonably necessary to enforce this Addendum. Confidential information shall not include information that is publicly available through no fault of the receiving party.

9. Governing Law

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

10. Entire Agreement; Amendments

This Addendum, together with the Lease, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written. Any amendment to this Addendum must be in writing and signed by both parties.

11. Miscellaneous Provisions

If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Lessee may not assign or transfer its rights under this Addendum without Lessor's prior written consent, which shall not be unreasonably withheld.
