PARKING LOT AGREEMENT

This Parking Lot Agreement (the Agreement) is entered into as of between (Lessor) and (Lessee).

RECITALS

WHEREAS, Lessor is the lawful owner or authorized manager of the parking area located at (the Premises); and

WHEREAS, Lessee desires to lease and operate portions of the Premises for parking and related access on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement set forth their entire understanding regarding the leasing and operation of the parking facilities.

SCOPE OF WORK

Lessee is authorized to use the Premises solely for vehicle parking, ingress and egress, and ancillary activities expressly described in the Scope of Work. Any other use requires prior written consent of Lessor. Lessee shall not sublease the Premises or assign rights under this Agreement without Lessor's prior written consent, which shall not be unreasonably withheld.

PAYMENT TERMS

All payments shall be made in lawful currency to Lessor by the payment dates specified above. Late payments shall incur a late fee equal to % of the overdue amount per month or the maximum permitted by law, whichever is less. Lessee shall be responsible for all reasonable collection costs, including attorneys' fees, incurred by Lessor in enforcing payment obligations.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for default shall be effective if the defaulting party fails to cure a material breach within days after written notice specifying the breach. Upon termination, Lessee shall vacate the Premises, remove personal property, and return possession to Lessor in broom-clean condition subject to reasonable wear and tear. Security deposit, if any, will be returned in accordance with applicable law and subject to permitted deductions for unpaid rent, repairs, and cleanup.

MAINTENANCE AND OPERATIONS

Lessee shall maintain the Premises in a clean, safe, and lawful condition, including routine sweeping, snow and ice removal as applicable, and prompt repair of damage caused by Lessee or Lessee's invitees. Major structural repairs remain the responsibility of Lessor unless caused by Lessee's gross negligence or willful misconduct. Lessee shall comply with all applicable laws, ordinances, and regulations relating to the operation of the parking facility.

INSURANCE AND INDEMNIFICATION

Lessee shall, at its expense, maintain comprehensive general liability insurance covering the Premises and Lessee's operations in amounts no less than per occurrence, naming Lessor as additional insured as reasonably required. Lessee shall provide certificates of insurance upon request. Lessee shall indemnify, defend and hold harmless Lessor and its agents from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Lessee's use of the Premises, except to the extent caused by Lessor's gross negligence or willful misconduct.

CONFIDENTIALITY

Each party agrees that non-public terms of this Agreement and any financial or operational information exchanged in connection with this Agreement are confidential and shall not be disclosed to third parties without the other party's prior written consent, except as required by law or to the party's professional advisors who are bound by confidentiality. This obligation shall survive termination of the Agreement for a period of .

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. Venue for any legal action arising out of this Agreement shall be in the courts located within that state.

ENTIRE AGREEMENT

This Agreement, including any exhibits or written attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, and agreements, whether written or oral. Any modification to this Agreement must be in writing and signed by both parties.
