PARKING LOT LEASE AGREEMENT

Parties

Recitals

WHEREAS, Lessor is the lawful owner of the real property and parking facilities located at (the "Premises"); and

WHEREAS, Lessee desires to lease from Lessor certain parking area(s) on the Premises for the purpose of vehicle parking and related incidental uses, and Lessor is willing to lease such area(s) to Lessee on the terms and conditions set forth in this Agreement.

Scope of Lease

The Lessor leases to Lessee, and Lessee accepts, the use of the parking area described below. The parties agree that the permitted use, boundaries, and any improvements are described in the Scope of Work field.

Payment Terms

Lessee shall pay to Lessor rent and other sums as set forth below. Rent shall be payable in lawful currency to the party and by the method specified.

If rent or other charges are not paid within five (5) days after written notice of nonpayment, Lessee shall pay the late fee stated above and interest at the lesser of the maximum rate permitted by law or the stated rate. Charges recoverable by Lessor include reasonable costs of collection and attorneys' fees.

Term and Termination

This Lease shall commence on and shall terminate on unless earlier terminated in accordance with this Agreement.

Either party may terminate for cause upon material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach; provided that certain breaches that are incapable of cure may permit immediate termination.

Use, Access, and Maintenance

Lessee shall use the Premises solely for lawful vehicle parking and incidental pedestrian ingress and egress. Lessee shall not use the Premises for storage of hazardous materials, vehicle repair operations, or any use that creates a nuisance.

Lessee shall, at its expense, keep the leased parking areas in a neat and sanitary condition and shall promptly remove debris, oil stains, and other contaminants resulting from Lessee's use. Lessor shall maintain structural elements, lighting infrastructure provided by Lessor, and the underlying pavement surface except to the extent repairs are required due to Lessee's negligence or willful misconduct.

Insurance and Indemnity

Lessee shall maintain commercial general liability insurance naming Lessor as an additional insured and shall provide certificates of insurance upon request. Lessee shall indemnify, defend and hold harmless Lessor and its agents from and against all claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of Lessee's use of the Premises, except to the extent caused by Lessor's gross negligence or willful misconduct.

Confidentiality

The parties acknowledge that certain business terms and records exchanged under this Agreement may be confidential. Each party agrees not to disclose confidential information of the other party to third parties except as required by law or with prior written consent. Confidential information shall not include information that is publicly known through no breach of this Agreement or that is rightfully obtained from a third party without restriction.

Default and Remedies

In the event of default by Lessee, Lessor may pursue all remedies available at law or in equity including but not limited to termination of this Lease, recovery of past due rent, damages, and injunctive relief. Remedies are cumulative and the exercise of one remedy shall not preclude the exercise of others.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between Lessor and Lessee with respect to the subject matter hereof, and supersedes all prior negotiations, understandings, and agreements. Any amendment must be in writing and signed by both parties.
