PARKING SERVICE AGREEMENT

This Parking Service Agreement ("Agreement") is made effective as of by and between:

RECITALS

WHEREAS, Service Provider is engaged in the business of providing parking management, valet, enforcement, and related services and has represented that it has the expertise, personnel, permits and insurance necessary to perform such services; and

WHEREAS, Client owns, leases or controls the property described below and desires to retain Service Provider to provide parking management services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations in writing.

PARKING LOCATION

SCOPE OF WORK

Service Provider shall provide parking services at the Parking Location including, but not limited to, the following activities and deliverables. The parties acknowledge that the Scope of Work may be modified by written amendment signed by both parties.

PAYMENT TERMS

Client shall pay Service Provider for the services described above in accordance with the following terms.

All amounts payable under this Agreement are exclusive of taxes. Client shall be responsible for any taxes imposed on payments hereunder, except taxes based on Service Provider's net income. Service Provider shall submit written invoices and Client shall pay within the Payment Schedule stated above.

TERM AND TERMINATION

Term: The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period set forth above. Client may terminate for convenience upon written notice to Service Provider subject to payment for services performed up to the effective date of termination and any reasonable wind-down costs agreed in writing.

INSURANCE, INDEMNITY AND LIABILITY

Service Provider shall maintain commercially reasonable liability insurance, workers' compensation and any other insurance required by law for the performance of the services. Evidence of insurance shall be provided to Client upon request. Service Provider agrees to indemnify and hold Client harmless from and against claims arising from Service Provider's negligent acts, omissions or willful misconduct in the performance of services.

Except to the extent caused by gross negligence or willful misconduct, neither party shall be liable to the other for incidental, consequential or punitive damages.

ACCESS, RULES AND COMPLIANCE

Client shall provide reasonable access to the Parking Location, utilities and any permits or authorizations required for Service Provider to perform the services. Service Provider shall comply with all applicable laws, ordinances, regulations and permit requirements in performing services under this Agreement.

CONFIDENTIALITY

Each party acknowledges that it may receive confidential or proprietary information of the other party ("Confidential Information"). Except as required by law, each party shall maintain the confidentiality of such information and shall not disclose it to third parties without the disclosing party's prior written consent. Confidential Information shall not include information that is publicly available through no fault of the receiving party or was independently developed by the receiving party without use of the other party's Confidential Information.

FORCE MAJEURE

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, strikes, pandemics, riots, acts of government, or severe weather, provided the affected party promptly notifies the other and uses commercially reasonable efforts to resume performance.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflicts of law.

ENTIRE AGREEMENT

This Agreement, including any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, representations and agreements, whether written or oral.
