PARKING SPACE LEASE AGREEMENT

This Parking Space Lease Agreement (Agreement) is made on , by and between:

5. Access, Keys, and Permits

6. Maintenance and Repairs

Lessor is responsible for structural repair and maintenance of the parking facility unless damage is caused by Lessee's negligence or willful misconduct. Lessee shall keep the assigned space free of debris, spills, and leaking fluids; Lessee shall promptly notify Lessor of damage or hazardous conditions.

Lessee shall be responsible for the cost of repairs required because of Lessee's negligence, misuse, or breach of this Agreement.

7. Insurance and Indemnity

Lessee shall maintain automobile liability insurance covering vehicles parked on the Premises and shall maintain general liability insurance if Lessee stores property on the Premises. Lessee shall provide proof of insurance upon request. Lessor is not responsible for loss, theft, or damage to Lessee's vehicle or personal property except to the extent caused by Lessor's gross negligence or willful misconduct.

Lessee agrees to indemnify, defend, and hold harmless Lessor from and against any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from Lessee's use of the Premises, except to the extent caused by Lessor's gross negligence or willful misconduct.

9. Default and Remedies

If Lessee fails to pay rent or otherwise breaches any covenant of this Agreement, Lessor shall provide a written notice specifying the breach and, where monetary, a period of seven (7) days to cure. If Lessee fails to cure, Lessor may terminate this Agreement and pursue all available remedies, including recovery of unpaid rent, expenses of re-letting, and reasonable attorneys' fees.

Lessee shall be responsible for all collection costs and attorneys' fees incurred by Lessor in enforcing this Agreement after default.

10. Assignment and Subletting

Lessee shall not assign this Agreement or sublet the Premises without the prior written consent of Lessor, which consent shall not be unreasonably withheld. Any assignment or subletting without such consent is void and constitutes a breach.

11. Termination and Holdover

On termination, Lessee shall remove vehicles and personal property and return any keys or permits. Holdover by Lessee after the Term without Lessor's written consent shall subject Lessee to a holdover rate equal to one and one-half times the monthly rent and may result in termination or other remedies.

12. Notices

All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth above or to such other address designated by a party in writing. Notice is effective upon personal delivery or three (3) days after deposit in the U.S. mail, postage prepaid, or other agreed delivery method.

13. Miscellaneous Provisions

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Premises are located.

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the Premises and supersedes all prior agreements and understandings, whether written or oral.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
