PARKING STALL LEASE

Parties

Landlord hereby leases to Tenant and Tenant hereby leases from Landlord the parking stall described below on the terms and conditions contained in this Lease. This Lease is binding upon and inures to the benefit of the parties and their respective successors and assigns subject to the restrictions on assignment herein.

Holding over or occupancy beyond the expiration without written consent shall constitute a month-to-month tenancy at a rate equal to one and one-half times the then-current monthly rent and may be terminated by Landlord upon five days' written notice.

Use and Restrictions

Tenant shall use the stall solely for the parking of operable passenger vehicles and shall not use the stall for storage, repairs, commercial use, habitation, or for storage of hazardous materials. No vehicle longer than or heavier than is permitted without prior written consent of Landlord.

Tenant shall not perform vehicle maintenance, washing, painting, or any activity that creates stains, spills, or hazardous conditions. Tenant is responsible for removal of oil, fluid leaks, and any personal items left in the stall.

Access, Keys and Permits

If a tangible parking permit, decal, key, or access device is provided, Tenant will not transfer or duplicate such devices. Loss or damage to permits will require immediate notification to Landlord and may be subject to a replacement fee described below:

Maintenance, Damage and Insurance

Landlord will maintain primary access ways and lighting but is not responsible for damage to Tenant's vehicle except to the extent caused by Landlord's gross negligence. Tenant shall keep the stall free of debris and promptly report any damage to Landlord. Tenant is required to maintain automobile liability insurance with limits of not less than and shall provide proof upon request.

Default and Remedies

If Tenant fails to pay rent or otherwise breaches this Lease, Landlord may provide written notice specifying the breach and, if curable by payment, allow three days to cure nonpayment or ten days for other defaults. If Tenant does not cure within the specified period, Landlord may terminate this Lease, recover possession, recover unpaid rent and damages, and pursue other remedies under law. Tenant shall be responsible for reasonable costs of collection, including attorneys' fees.

Termination and Surrender

Upon termination or expiration Tenant shall remove all personal property, return permit devices, and surrender the stall in the same condition as received except for reasonable wear and tear. Tenant shall be liable for removal costs and any damage caused by Tenant's removal.

Indemnity; Limitation of Liability

Tenant releases, indemnifies and holds Landlord harmless from any claims, liabilities, losses or expenses arising out of Tenant's use of the stall, except to the extent caused by Landlord's gross negligence or willful misconduct. Landlord's liability for any claim related to this Lease shall not exceed the greater of actual direct damages incurred or two months' rent.

Assignment and Subletting

Tenant shall not assign this Lease or sublet the stall without Landlord's prior written consent, which consent shall not be unreasonably withheld. Any attempted assignment or subletting without consent is void and constitutes a material breach.

Notices

Notices shall be effective upon personal delivery or three days after deposit in the United States mail, postage prepaid, addressed to the party at the notice address shown above, or at any other address provided in writing.

Governing Law; Entire Agreement

This Lease shall be governed by the laws of the state where the Property is located. This Lease, including any attachments and written amendments, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior negotiations and agreements. Any modification must be in writing and signed by both parties.
