Recitals

WHEREAS, Client Name: (the "Merchant") operates retail or service facilities and requires validated parking services for its customers; and

WHEREAS, Parking Operator: (the "Operator") provides parking management and validation services to third parties; and

WHEREAS, this Parking Validation Voucher (this "Voucher") documents a single parking validation provided by the Operator to a patron at the Merchant's request and is governed by the terms and business agreement between the Merchant and Operator set forth below.

Scope of Validation Services

The Operator shall validate parking for patrons of the Merchant in accordance with the parameters described below. This Voucher constitutes a single validation event subject to the Merchant-Operator agreement and the terms stated on this document.

The Merchant agrees to reimburse the Operator for each validated parking event as follows:

Term and Termination

This Voucher and the Merchant-Operator validation arrangement are effective as of Start Date: and continue until End Date: , unless earlier terminated in accordance with the agreement.

Confidentiality

Each party shall maintain in confidence all non-public business information disclosed by the other party in connection with this Voucher and the underlying validation services, including but not limited to billing records, proprietary validation codes, and customer lists. Confidential information shall not be disclosed except to employees, agents, or service providers who need access to perform obligations hereunder and who are bound by confidentiality obligations no less protective than those set forth herein. This confidentiality obligation survives termination of the agreement for a period of two (2) years.

Terms Applicable to Voucher Holders

This Voucher is non-transferable, has no cash value beyond the validated parking amount or time, and must be presented at the time of exit to receive the stated validation benefit. Lost or stolen Vouchers will not be replaced. Redemption is subject to Operator's standard operating rules and the Merchant's validation authorization.

Governing Law

This Voucher and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.

Entire Agreement

This Voucher, together with any master services agreement or purchase order between the Merchant and the Operator referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof, superseding all prior or contemporaneous understandings, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by both parties.
