Expenses and Reimbursable Costs

Client will reimburse Provider for reasonable, pre-approved out-of-pocket expenses incurred in connection with performance. Provider shall obtain written pre-approval for any single expense in excess of . Reimbursable expenses must be supported by receipts.

Taxes; Independent Contractor

Provider is an independent contractor. Provider is responsible for all federal, state, and local taxes, contributions and withholdings arising from payments under this Agreement. Client will not withhold any taxes unless required by law.

Confidentiality

Provider shall hold in confidence and not disclose Client Confidential Information except as required to perform Services. Confidential Information excludes information that is or becomes publicly known through no breach of this Agreement or is rightfully received from a third party without restriction.

Intellectual Property

Unless otherwise agreed in writing, all deliverables and work product produced by Provider specifically for Client under this Agreement shall be deemed work made for hire and assigned to Client upon full payment. Provider retains the right to use general skills, know-how, and non-confidential techniques learned while performing Services.

Representations; Warranties

Each party represents that it has the full power and authority to enter this Agreement. Provider warrants that Services will be performed in a professional and workmanlike manner in accordance with industry standards.

Indemnification; Limitation of Liability

Provider will indemnify Client from third-party claims arising from Provider's negligence or willful misconduct. EXCEPT FOR CLAIMS ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT UNDER THIS AGREEMENT DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

Termination

Either party may terminate for material breach if the breach is not cured within days after written notice. On termination, Client shall pay Provider for all Services performed and approved expenses incurred through the termination date.

This Agreement shall be governed by the laws of the state or jurisdiction of without regard to conflict of laws principles.
