Participant Agreement

This Participant Agreement (the "Agreement") is entered into on by and between Organizer Name: and Participant Name: .

WHEREAS

WHEREAS, Organizer operates and conducts the Event or Program described below and requires certain services and participation from qualified individuals or entities; and

WHEREAS, Participant represents that Participant has the necessary skills, qualifications, and authorization to perform the participation described in this Agreement and agrees to comply with Organizer rules and applicable laws;

WHEREAS, the parties desire to set forth the terms and conditions governing Participant's engagement and any compensation to be paid by Organizer.

Scope of Work

Participant shall perform the duties and obligations described below in a professional manner and in accordance with industry standards. The scope, deliverables, venue, and schedule are as follows:

Payment Terms

Organizer agrees to compensate Participant as set forth below. All fees are exclusive of applicable taxes unless otherwise stated.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the rate of % per month (or the maximum permitted by law, if less). Organizer shall also be responsible for reasonable collection and legal fees incurred by Participant to collect overdue amounts.

Term and Termination

Term: This Agreement commences on and, unless earlier terminated in accordance with this Agreement, will terminate on .

Termination for Convenience: Either party may terminate this Agreement for any reason upon days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure the breach within a commercially reasonable period not to exceed 15 days after receipt of written notice.

Confidentiality

Definition: "Confidential Information" means nonpublic information disclosed by a party that is designated as confidential or that, under the circumstances, ought to be treated as confidential, including but not limited to business plans, financial information, technical data, trade secrets, participant lists, and proprietary materials.

Obligation: Each party shall (a) hold Confidential Information in strict confidence, (b) not disclose it to third parties except to employees, contractors, or advisors who need access to perform the Agreement and who are bound to confidentiality obligations at least as protective as those herein, and (c) use Confidential Information solely to perform obligations under this Agreement.

Exclusions: Confidential Information does not include information that (i) is or becomes public through no fault of the receiving party, (ii) was known to the receiving party prior to disclosure, (iii) is rightfully received from a third party without breach of an obligation of confidentiality, or (iv) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved in the courts located in that State, and each party consents to personal jurisdiction and venue therein.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, and that performance will not violate any other agreement or applicable law.

Indemnification

Participant shall indemnify and hold Organizer harmless from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Participant's negligence, willful misconduct, breach of this Agreement, or violation of law in connection with the performance of Participant's obligations.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.
