Recitals

WHEREAS, Organizer operates the program or event described below and offers participation subject to payment of fees; and WHEREAS, Participant desires to enroll in the program on the terms set forth in this Agreement.

The fees payable by Participant to Organizer for the Program are set forth below. Participant acknowledges responsibility for payment of all applicable fees, taxes, and surcharges unless otherwise indicated.

Payment Terms

Payment Due: Participant shall pay the Total Due in accordance with the following terms: Payment is due within days of the Agreement Effective Date, unless otherwise set forth below.

Accepted Payment Methods:

Late Payment: Any unpaid balance not received by Organizer when due shall accrue interest at the rate of per month (or the maximum rate permitted by law), plus any costs of collection, including reasonable attorneys' fees.

Refunds, Cancellation, and Transfers

Cancellation by Participant must be provided in writing to Organizer. Refunds, if any, will be issued according to the following schedule: cancellations received more than days before the Program start date: refund; cancellations received within days of the Program start date: refund. No refund will be provided for voluntary early departure unless otherwise agreed in writing.

Transfers: Requests to transfer registration to another program or participant are subject to Organizer approval and may incur administrative fees as set by Organizer.

Taxes and Additional Charges

Participant is responsible for any sales, use, value-added, or similar taxes applicable to the fees, except where Organizer is required to collect such taxes. Unless a valid exemption certificate is provided to Organizer, applicable taxes will be added to the Total Due.

Participant Responsibilities

Participant shall comply with all Organizer policies, provide accurate registration information, and pay fees when due. Participant acknowledges that failure to comply may result in removal from the Program without refund.

Limitation of Liability and Indemnification

Organizer's liability for damages arising out of or related to this Agreement shall be limited to direct damages not to exceed the Total Due paid by Participant. Organizer shall not be liable for indirect, incidental, consequential, special, or punitive damages. Participant indemnifies and holds Organizer harmless from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from Participant's acts or omissions in connection with the Program, except to the extent caused by Organizer's gross negligence or willful misconduct.

Default and Remedies

In the event Participant fails to make timely payment or otherwise breaches this Agreement, Organizer may suspend Participant's participation, terminate the Agreement, and pursue all available remedies at law or in equity, including collection of amounts due plus interest and collection costs.

Notices

All notices required or permitted under this Agreement shall be given in writing and delivered to the addresses set forth above or to any updated address provided in writing. Notices are effective upon receipt.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in the county where Organizer's principal place of business is located unless otherwise required by law.

Miscellaneous

This Agreement constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior agreements. Any amendment must be in writing and signed by both parties. If any provision is held invalid, the remainder shall remain in effect.
