Agreement: Parties and Recitals

This Participant Information Form and Participation Agreement (the "Agreement") is entered into by and between Organizer Name: (the "Organizer") and Participant Name: (the "Participant"), collectively the "Parties."

Payment Terms

Participant agrees to pay the Organizer the total consideration set forth below in exchange for participation and services. Payments that are not received when due will incur a late fee as described.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either Party may terminate this Agreement for convenience upon written notice to the other Party no fewer than days prior to the requested termination date. The Organizer may terminate immediately for cause where the Participant materially breaches obligations or poses a safety risk.

Confidentiality

The Participant and the Organizer each agree not to disclose Confidential Information received from the other Party, except as required by law or as necessary to perform under this Agreement. "Confidential Information" means non-public business, programmatic, financial or personal information clearly designated as confidential or which a reasonable person would understand to be confidential. Confidentiality obligations survive termination of this Agreement for a period of two years.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Agreement, together with any attachments and the information provided on this Participant Information Form, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, negotiations, representations and understandings, whether written or oral. Any amendments must be in writing and signed by both Parties.
