Recitals

WHEREAS, Organizer is conducting an activity, program, or event described herein and requires participation from qualified individuals or entities; and

WHEREAS, Participant desires to participate under the terms and conditions set forth in this Agreement and to receive any consideration described below;

WHEREAS, the parties wish to set forth the duration, scope, payment, confidentiality obligations, and other material terms governing Participant's participation.

Scope of Participation

Participant shall perform the activities, services, or duties described below in a professional manner consistent with industry standards. Participant's obligations shall include any deliverables, milestones, and reporting specified by Organizer.

Payment Terms

In consideration for Participant's performance, Organizer shall pay Participant the compensation described below. All amounts are payable in United States dollars unless otherwise agreed in writing.

Late Payment: Organizer shall pay a late fee of on any undisputed amount not paid within days after the invoice due date. Acceptance of late fees shall not constitute a waiver of Organizer's right to terminate for nonpayment.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause upon providing days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of 10 days after written notice of breach.

Effect of Termination: Upon termination Participant shall cease providing services, deliver all work in progress, and, except for amounts owed for services performed prior to termination, Organizer shall have no further payment obligations.

Confidentiality

For purposes of this Agreement, "Confidential Information" means nonpublic information disclosed by one party to the other whether disclosed orally, in writing, or by inspection, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The receiving party shall (a) hold Confidential Information in strict confidence, (b) use Confidential Information solely to perform obligations under this Agreement, and (c) restrict disclosure to those employees, contractors, or agents with a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Exclusions: Confidential Information does not include information that is (i) publicly known through no fault of the receiving party, (ii) already rightfully known by the receiving party prior to disclosure, (iii) independently developed without use of the disclosing party's Confidential Information, or (iv) required to be disclosed by law or court order (provided the receiving party gives prompt notice to permit a protective order).

Duration: The confidentiality obligations shall survive termination of this Agreement for or for such longer period as required by applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Agreement.

Miscellaneous

Entire Agreement: This Agreement, including any attachments or schedules executed by the parties, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, understandings, and communications.

Assignment; Independent Contractor; Severability: Neither party may assign its rights or obligations without the other's prior written consent (except to a successor by merger or sale of substantially all assets). Participant is an independent contractor. If any provision is held invalid, the remaining provisions shall remain effective.
