Recitals

Either party may terminate this agreement for material breach if such breach is not cured within days after written notice. Additionally, the Client may terminate for convenience upon days' prior written notice; in such event Contractor shall be paid for work performed to date and reasonable demobilization costs.

Warranties and Acceptance

Contractor warrants that partition materials and workmanship will be free from defects for a period of from date of final acceptance. Final acceptance shall be evidenced by the Client's signed acceptance certificate or unambiguous written notice of acceptance following completion of punchlist items.

Confidentiality

Each party shall maintain in confidence all confidential information disclosed by the other party in connection with this agreement, using no less than reasonable care, and shall not disclose such information to third parties except to its employees, subcontractors or consultants who have a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein. Confidential information does not include information that is publicly available through no fault of the receiving party or independently developed without reference to the disclosing party's confidential information.

Insurance and Indemnity

Contractor shall maintain commercial general liability, workers' compensation, and other insurance customary for the work and in amounts sufficient to cover Contractor's obligations hereunder. Contractor shall indemnify, defend and hold harmless the Client from claims arising out of Contractor's performance to the extent caused by Contractor's negligence or willful misconduct, subject to any limitations of liability agreed by the parties.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement

This document, together with any documents expressly incorporated herein by reference and any signed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
