Scope of Work

The Partner shall perform the services and deliverables as described below. The Partner agrees to furnish all labor, materials, equipment and supervision necessary to perform the services in a professional manner in accordance with industry standards.

Payment Terms

As consideration for the services, Company shall pay Partner the amounts and on the schedule set forth below. Partner shall invoice Company in accordance with the invoicing terms provided and Company shall pay unobjectionable invoices in accordance with this section.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for cause upon material breach by the other party that remains uncured for the notice period specified above. Termination for convenience by either party requires written notice in accordance with the notice period.

Confidentiality

The parties acknowledge that during performance of this Agreement each party may receive confidential or proprietary information of the other party. Each party agrees to: (a) hold such information in strict confidence; (b) not disclose such information to any third party except as permitted in this Agreement; and (c) use such information solely for the performance of obligations under this Agreement. Confidential information does not include information that is publicly known or rightfully received from a third party without breach of an obligation of confidentiality.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into and perform this Agreement and that the execution and performance of this Agreement will not violate any agreement to which it is a party. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of state and federal courts located in that State for resolution of disputes.

Entire Agreement
