PARTNERSHIP SHARE AGREEMENT

This Partnership Share Agreement (the "Agreement") is made and entered into as of the Effective Date: by and between Partner A: , having a principal place of business at ; and Partner B: , having a principal place of business at .

RECITALS

WHEREAS, the Partners have organized or intend to organize a partnership (the "Partnership") for the purpose of conducting the business described in the Partnership's agreement and wish to set forth the allocation and transfer restrictions of partnership shares and related governance matters;

WHEREAS, Partner A currently holds certain partnership interests and Partner B desires to acquire an interest in the Partnership, or to have their respective ownership and transfer rights governed by the terms set forth herein; and

WHEREAS, the Partners desire to establish certain restrictions, rights of first refusal, buy-sell procedures, and other terms applicable to the transfer and ownership of partnership shares to preserve the partnership's business continuity and value.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Partners agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Shares" means the partnership interests, units or percentage interests in the Partnership held by a Partner as set forth in Schedule A which is incorporated herein by reference.

"Transfer" means any sale, assignment, pledge, encumbrance, gift, or other disposition of Shares or any economic interest therein.

2. CAPITAL CONTRIBUTIONS AND OWNERSHIP

Each Partner's initial capital contribution and ownership percentage shall be set forth on Schedule A. Additional capital contributions shall be made only upon unanimous written agreement of the Partners. Except as otherwise provided in this Agreement, profits, losses and distributions shall be allocated in proportion to each Partner's ownership percentage.

3. RESTRICTIONS ON TRANSFER

No Partner shall Transfer any Shares, in whole or in part, except in strict compliance with the provisions of this Agreement. Any attempted Transfer not in compliance shall be null and void and of no force or effect as to the Partnership and the non-transferring Partners.

4. RIGHT OF FIRST REFUSAL

If a Partner (the "Selling Partner") receives a bona fide offer from a third party to purchase all or any portion of the Selling Partner's Shares, the Selling Partner shall give written notice of such offer, including its material terms and price, to the other Partner. The non-selling Partner shall have a right of first refusal to purchase the offered Shares on the same terms within thirty (30) days after receipt of such notice.

5. TAG-ALONG AND DRAG-ALONG

If a Selling Partner proposes to Transfer Shares to a third party such that the purchaser would obtain control of the Partnership, the non-selling Partner shall have tag-along rights to participate on a pro rata basis. Conversely, if a specified majority of Partners approve a sale of the Partnership, the holders of minority Shares shall be obligated to sell (drag-along) on the same terms as agreed by the majority.

6. VALUATION; PURCHASE PRICE

In the event of a compulsory purchase of Shares pursuant to this Agreement, the purchase price shall be the fair market value as determined by an independent appraiser mutually selected by the Partners. If the Partners cannot agree on an appraiser within ten (10) days, each Partner shall select an appraiser and the two appraisers shall select a third appraiser whose determination shall be final and binding.

7. REPRESENTATIONS AND WARRANTIES

Each Partner represents and warrants to the other that: (a) such Partner has full power, authority and legal right to enter into this Agreement; (b) the execution and delivery of this Agreement has been duly authorized; and (c) upon execution, this Agreement will constitute the valid and binding obligation of such Partner enforceable in accordance with its terms, except as limited by applicable bankruptcy, insolvency or similar laws.

8. CONFIDENTIALITY

Each Partner shall hold in confidence and not disclose to any third party any confidential information of the Partnership or the other Partner received in connection with the Partnership's business, except as required by law or with the prior written consent of the disclosing Partner.

9. INDEMNIFICATION

Each Partner agrees to indemnify and hold harmless the Partnership and the other Partner from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of such Partner's breach of this Agreement, willful misconduct or gross negligence.

10. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a Partner may specify in writing in accordance with this Section.

11. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in a writing signed by all Partners. No failure or delay by any Partner in exercising any right under this Agreement shall operate as a waiver of that right.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

13. ENTIRE AGREEMENT

This Agreement, together with all schedules and exhibits hereto, constitutes the entire agreement among the Partners with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, oral or written.

14. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable in whole or in part, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be reformed to the minimum extent necessary to make it valid and enforceable.

15. COUNTERPARTS

This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Signatures transmitted by facsimile or electronic image shall be binding as originals.
