Parts Borrower Agreement

This Parts Borrower Agreement ("Agreement") is entered into effective as of by and between Lender Name: and Borrower Name: .

WHEREAS

WHEREAS, Lender possesses certain mechanical, electrical, or other parts and components (collectively, "Parts") used in Lender's business and is willing to loan such Parts to Borrower for the purposes described herein under the terms and conditions set forth in this Agreement.

WHEREAS, Borrower requires temporary use of the Parts for the purpose of and agrees to maintain, secure, and return the Parts in the condition required by this Agreement.

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the loan, use, custody, and return of the Parts.

SCOPE OF BORROWED PARTS

Lender agrees to loan to Borrower, and Borrower agrees to accept and use, the Parts identified in the inventory below solely for the purpose stated above and only at the address specified in this Agreement. Borrower shall not use the Parts for any other purpose without prior written consent from Lender.

INVENTORY OF BORROWED PARTS

The parts listed below constitute the Parts loaned under this Agreement. Borrower acknowledges receipt of the Parts in the condition described and agrees to return the exact items or equivalent items approved in writing by Lender.

PAYMENT TERMS

Borrower agrees to pay Lender for the loan of the Parts as follows:

Late payments shall accrue interest at a rate of or the maximum rate permitted by applicable law, whichever is less. Borrower shall also be responsible for any collection costs, including reasonable attorneys' fees.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Lender may immediately terminate this Agreement and take immediate possession of the Parts upon Borrower's material breach, insolvency, or failure to comply with retention, use, maintenance, or insurance obligations.

BORROWER OBLIGATIONS; CARE AND RETURN

Borrower shall: (a) use the Parts in a careful, proper, and lawful manner; (b) maintain the Parts in the same condition as received, ordinary wear and tear excepted; (c) keep the Parts secure and protected from theft, loss, or damage; and (d) return the Parts to Lender at the agreed location upon expiration or termination of this Agreement.

If any Part is lost, destroyed, or damaged beyond reasonable repair, Borrower shall, at Lender's election, repair the Part to Lender's reasonable satisfaction or pay Lender the reasonable replacement cost, plus any applicable taxes and expenses incurred by Lender in connection with replacement.

INSURANCE AND INDEMNITY

Borrower shall, at its expense, maintain insurance covering the Parts against loss, theft, and damage in an amount sufficient to cover replacement cost and shall list Lender as an additional insured or loss payee where applicable. Borrower shall indemnify, defend and hold harmless Lender from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Borrower's use, possession, or transportation of the Parts, except to the extent caused by Lender's gross negligence or willful misconduct.

CONFIDENTIALITY

Borrower acknowledges that certain technical data, specifications, or other information provided with or regarding the Parts may constitute confidential or proprietary information of Lender. Borrower shall (a) maintain the confidentiality of such information, (b) not disclose such information to any third party without Lender's prior written consent, and (c) use such information only as reasonably necessary to perform under this Agreement. The obligations in this section shall survive termination of this Agreement for a period of three (3) years.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising under or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located within that State.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. This Agreement may be amended only by a written instrument signed by both parties.

NOTICES

All notices under this Agreement shall be in writing and delivered to the address of the receiving party set forth below or to such other address as either party may specify in writing.

MISCELLANEOUS

If any provision of this Agreement is found to be invalid or unenforceable, such invalidity or unenforceability shall not affect the remaining provisions, which shall remain in full force and effect. No waiver of any breach shall be deemed a waiver of any subsequent breach. The parties acknowledge that they have read and understand this Agreement and enter into it voluntarily.
